Reasonableness of the Measures Undertaken to Mitigate the Loss

Abstract

Dolocba 77. člena Konvencije Združenih narodov o pogodbah o mednarodni prodaji blaga (CISG) od pogodbi zveste stranke zahteva, da opravi vse razumne ukrepe za zmanjšanje škode, ki izhaja iz kršitve pogodbe. Ta določba temelji na kriteriju razumnosti ukrepov, ki je podvržen različnim interpretacijam sodišč in arbitražnih tribunalov. To diplomsko delo se osredotoča predvsem na tolmačenje načela razumnosti, predvsem s predstavitvijo številnih primerov iz sodne prakse, obenem pa predstavlja tudi nekatere poglede pravne teorije na obravnavano problematiko. Izčrpno povzema aspekte določb 77. člena, vključno s problematično uporabo v primeru ko stranka poleg ali namesto odškodnine uveljavlja druga pravna sredstva, ki jih ima po CISG. Ker se CISG uporabi pri večini pogodb o mednarodni prodaji blaga je razumevanje interpretacije njenih določb nadvse pomembno. Namen tega dela je tako bralcu podrobno predstaviti princip zmanjševanja škode v pomembnem delu mednarodne prodaje blaga.

Secondary abstract: In an action for breach of contract, the aggrieved party is under Article 77 CISG required to undertake reasonable measures to minimize their loss in order to satisfy their duty to mitigate damages. As this provision relies heavily on the principle of 'reasonableness' it can be subject of wide interpretation by courts and arbitration tribunals. In order to canvass some aspects of measures that have been found reasonable in relation to this duty, this thesis focuses on the interpretation of the principle of reasonableness in case law as well as in scholarly opinions by means of presenting numerous case abstracts as well as references to academic works. The duty to mitigate in general as provided by Article 77 CISG has been thoroughly summarized, including the very problematic field of its application to the aggrieved party's remedies other than claims for damages. Due to the vast amount of international commercial sales governed by the CISG, it is important to understand and be able to interpret the individual provisions. This work therefore hopes to provide the reader with an in-depth understanding of the mitigation of damages in a very significant part of international trade.
