Abstract

Nacionalne pravne ureditve, ki urejajo prodajno pogodbo, so različne. Ker pa je kupoprodajna pogodba najbolj razširjen pravni posel, ki se pogosto sklepa v mednarodnem prometu, je smiselno, da imamo poenotena materialnopravna pravila glede prodajne pogodbe v mednarodnem prometu. Mednarodno prodajo blaga ureja Konvencija Združenih narodov o pogodbah o mednarodni prodaji blaga oz. Dunajska konvencija, kjer se prepletajo kontinentalni (civil law) in anglosaksonski (common law) pravnih redi. Slovenski pravni red je del kontinentalnih pravnih redov. Ker pa so med anglosaksonskimi in kontinentalnimi pravnimi redi razlike glede ureditve prodajne pogodbe, bom predstavila razlike kakor tudi podobnosti glede jamčevalnih zahtevkov med slovensko zakonodajo (Obligacijskim zakonikom) ter Dunajsko konvencijo.

Secondary title: Seller's breach of a contract and guarantee claims by the Code of Obligations and United Nations Convention on Contracts for the International Sale of Goods
Secondary abstract: National legal rules governing the sale contract are different. However, since the contract of sale is the most common contract in international traffic, it makes sense to have uniform substantive rules for contract of international sale of goods. International sale of goods is regulated by the United Nations Convention on Contracts for the International Sale of Goods or Vienna Convention, where continental (civil law) and the Anglo-Saxon (common law) jurisdictions interweave. Slovenian legislation is part of the continental legal systems. Because there are legal differences between continental and in Anglo-Saxon jurisdictions regarding the sales contract, I will explain the differences and similarities between Slovenian legislation (Code of Obligations) and the Vienna Convention regarding guarantee claims.
