Abstract

Sklepanje pogodb poteka preko podajanja ponudbe in istovetnega sprejema. Ti izjavi se lahko podata z različnimi komunikacijskimi sredstvi, pri čemer se danes najpogosteje uporabljajo elektronska komunikacijska sredstva. V to skupino se uvršča tudi komunikacija preko elektronske pošte. Ponudba, ki je podana po elektronski pošti učinkuje od trenutka, ko je naslovniku dostopna na njegovem elektronskem naslovu. Podobno je tudi pri sprejemu ponudbe, ki prav tako prične učinkovati z vstopom v ponudnikov elektronski strežnik. To je tudi trenutek sklenitve pogodbe. V obeh primerih je potrebno, da se stranki strinjata s to vrsto komunikacije, v tej obliki in na teh naslovih. Veljavnost ponudbe je običajno časovno omejena. Ponudnik najpogosteje določi rok za sprejem. Pri tem je pomembno, kdaj začne ta rok teči. OZ za neposredna sredstva sporočanja, kamor se uvršča tudi e-pošta, določa, da prične rok za sprejem teči od trenutka prejema ponudbe. Vendar bi bila v tem primeru verjetno primernejša ureditev, da bi pričel rok za sprejem, kot pri navadnem pismu, teči od trenutka odpošiljanja ponudbe. Ponudnik lahko svojo ponudbo tudi umakne, vendar mora umik do naslovnika prispeti pred ali pa sočasno s ponudbo. V primeru komuniciranja preko elektronske pošte je to trenutek vstopa v elektronski strežnik. Čas sklenitve pogodbe v primeru podajanja izjav po elektronski pošti je trenutek, ko je izjava o sprejemu dostopna na ponudnikovem elektronskem naslovu, kraj sklenitve pa ponudnikov sedež v trenutku odpošiljanja ponudbe.

Secondary title: Concluding a contract by passing a statement over e-mail
Secondary abstract: Contracting is done through bids and identical receiving. These statements can be supplied by a variety of means of communication, but nowadays is most commonly used electronic means of communication. Communication via e-mail is also included in this group. The offer given by e-mail is effective from the moment, when the offeree access to his e-mail. Acceptance of the bid has a similar currency, which also come into effect by entering the email server provider. This is also the moment of conclusion. In both cases, it is necessary that the parties agree to this type of communication, in this form, and in these addresses. Validity of offer is usually limited in time. The offeror usually set a deadline for acceptance. It is important, when the period of time for acceptance start to run. OZ provides that the period of time for acceptance fixed by the offeror by means of instantaneous communication, where we also classify e-mail, begins to run from the moment when the offer reaches the offeree. However the better solution in the case of using an e-mail is, that the period of time for acceptance begins to run from the time of dispatch. A withdrawal of a bid or acceptation of an offer it is also possible with the withdrawal of the recipient or the provider to arrive before or simultaneously with the main statement. In case of communication via e-mail, the key moment is, when entering into electronic server. Time of conclusion of the contract in the event feed of statements by e-mail is the moment when the acceptance statement is available on the service provider's e-mail address, place of conclusion in the service office at the time of dispatch of the offer.
