Abstract

V diplomskem delu je obravnavana konkurenčna klavzula, ki delavca omejuje po prenehanju delovnega razmerja, da določen čas ne konkurira bivšemu delodajalcu. Institut konkurenčne klavzule je prikazan od začetka slovenske ureditve ter do danes. Dodana je tudi sodna praksa, ki prikazuje kakšni so pogoji za vzpostavitev takega dogovora, kakšne so obveznosti enega in drugega pogodbenega partnerja ter v kakšnih primerih konkurenčna klavzula ne velja oziroma kdaj preneha. Poleg tega pa je za spoštovanje konkurenčne klavzule določeno tudi nadomestilo, ki pripada delavcu, in obratno za nespoštovanje konkurenčne klavzule tudi predvideno denarno nadomestilo za škodo delodajalcu. Za primerjavo tega instituta pa sem primerjal institute v Veliki Britaniji, ki pripada drugemu pravnemu sistemu kot pa Slovenija.

Secondary abstract: This undergraduate dissertation discusses the non-competition clause that restricts the employee after the termination of an employment relationship in a sense that he/she cannot pose a competition to his/her former employer. The development of institute of a non-competition clause is described since the independence of the Republic of Slovenia to present day. The dissertation also includes case-law that describes conditions for the establishment of such agreement, obligations of both contracting parties and instances when the non-competition clause is void and when it terminates. Moreover, there is also financial compensation defined that an employee is entitled to if he/she observes the non-competition clause. On the other hand, also an employer is entitled to financial compensation for losses caused by failure to observe the non-competition clause. Finally, the dissertation compares the Slovenian institute of a non-competition clause with similar institutes in the United Kingdom that uses different legal system than Slovenia.
