Abstract

Institut spremembe delodajalca je na ravni Evropske unije urejen z Direktivo 2001/23/ES, v slovenskem pravnem redu pa je po njenem vzoru urejen v Zakonu o delovnih razmerjih. Tudi Velika Britanija je kot članica Unije morala implementirati Direktivo, in sicer je to storila s predpisom Transfer of Undertakings (protection of employment) Regulations 1981 imenovanim TUPE, spremenjenim 2006. Poleg navedenih predpisov upoštevam v svojem delu sodno prakso Sodišča EU ter prakso Vrhovnega sodišča RS. Namen predpisov je varovanje delavcev na način, da se jim zagotovijo ohranitve pravic, kot so jih imeli pred spremembo delodajalca oziroma pred prenosom podjetja. Razlago posameznih določb Direktive je na podlagi postopka predhodnih vprašanj v številnih primerih podalo Sodišče EU tudi v novejših primerih, temeljna vprašanja pa so se pojavila že prej. Preko primerov bom tako razložila pojme, za katere se v praksi dostikrat porajajo vprašanja, saj v določbah ni mogoče navesti in predvideti vseh možnih situacij.

Secondary title: CHANGE EMPLOYER IN THE LIGHT OF RECENT CASE LAW OF THE EUROPEAN UNION COURTS
Secondary abstract: In the European Union the institute of transfer of undertaking is legaly defined by the Council Directive 2001/23/EC and it is therefore implemented in the Slovenian law order by the same Directive in Employment Relationship Act. The same Directive was also implemented by the European Union member the United Kingdom in The Transfer of Undertakings (protection of employment) Regulations 1981 called TUPE, which was changed in 2006. In this paper I have also considered the jurisprudence of The Court of justice of the European Union and the jurisprudence of The Supreme Court of Slovenia. The main objective of this legislation is to guarantee rights such as they were before the change of an employer or before the transfer of undertaking. The interpretation of the Directive has been given by the Court of Justice of the EU in the preliminary questions on many modern cases, although some basic questions have been asked before. Through such cases I shall explain some concepts for which there are many questions in the practice of law, since it is quite impossible to apply a certain rule on all real life situations.
