Abstract

V diplomski nalogi sem predstavila institut izbrisa gospodarske družbe iz sodnega registra brez likvidacije s poudarkom na specifiki tega instituta in sicer odgovornosti družbenikov za obveznosti izbrisane družbe. Primerjala sem določbe danes veljavne zakonske ureditve v Zakonu o finančnem poslovanju, postopkih zaradi insloventnosti in prisilnem prenehanju (ZFPPIPP) z določbami Zakona o finančnem poslovanju podjetij (ZFPPod), ki je institut izbrisa leta 1999 uvedel v naš pravni sistem. V diplomski nalogi sem predstavila namen in pomen, ki ga ima institut izbrisa za varstvo upnikov.

Secondary abstract: In the thesis I present the institution of company cancellation from the judiciary register without liquidation by a focus on specifics of this institution, namely the liability of shareholders for the obligations of the cancelled company. I compare provisions of the current legal regulation in ZFPPIPP with the provisions of ZFPPod which introduced institute of the company cancellation into our legal system in 1999. In the thesis I present the purpose and importance of this institution for creditors protection.
