Abstract

Odškodninska obveznost je obveznost stranke, da poravna škodo za katero je odgovorna. V skladu s 74. členom DK je stranka odgovorna povrniti vso škodo, vključno z izgubljenim dobičkom, ki je nastala kot posledica kršitve pogodbe, pod pogojem, da je bila predvidljiva v času sklenitve pogodbe. 74. člen DK temelji na načelu popolne odškodnine, v skladu s katerim mora priti oškodovana stranka v položaj v katerem bi bila, če do kršitve ne bi prišlo. V primeru odstopa od pogodbe pa lahko stranka zahteva povrnitev škode na podlagi 75. ali 76. člena DK. 75. člen DK določa konkreten izračun škode na podlagi cene iz nadomestne transakcije, 76. člen DK pa določa konkreten izračun škode na podlagi trenutne tržne cene. V skladu s 77. členom DK se povračilo škode na podlagi 74., 75. in 76. člena DK zmanjša, če stranka ni sprejela ukrepov za zmanjšanje škode. Odgovornost stranke, ki pogodbo krši je objektivna, torej odgovarja ne glede na krivdo. Stranka se lahko razbremeni odgovornosti, če so izpolnjeni pogoji iz 79. člena DK.

Secondary abstract: Liability for damages is the obligation of the party to settle to the damages for which it is responsible. In accordance with Article 74 DK is party entitled to recover all losses, including loss of profits caused by the breach to the extent that these losses were foreseeable by the breaching party at the time the contract was concluded. Article 74 is based on the principle of full compensation,the purpose of Article 74 is to place the aggrieved party in the same pecuniary position it would have been in had the breach not occurred and the contract been properly performed. When the contract has been avoided aggrieved party may choose to claim damages under article 75 or 76 DK. Article 75 calculates damages concretely by reference to the price in a substitute transaction, while article 76 calculates damages abstractly by reference to the current market price. Pursuant to article 77 damages recoverable under articles 74, 75 or 76 DK are reduced if it is established that the aggrieved party failed to mitigate these damages. the liability under Article 74 is a strict liability, independent of any fraud or fault of the party in breach. The party exemptions provided in Articles 79 DK.
