Abstract
Za pridobitev lastninske pravice na nepremičnini na podlagi pravnega posla je potreben zavezovalni in razpolagalni pravni posel ter dodatno še vknjižba v zemljiško knjigo kot pridobitni način s katerim pravnoposlovni prenos lastninske pravice na nepremičninah dobi svoj zunanji izraz. Podlaga za vpis je listina, ki izpolnjuje točno določene zakonske pogoje, vendar je novela ZZK-1C z letom 2011 strankam ponudila še dve drugi listini, v primeru, da stranke ne razpolagajo z listino, ki izpolnjuje zakonske pogoje in lahko z njima popravi oziroma uredi neurejeno zemljiškoknjižno stanje, saj jih zakon enači z zemljiškoknjižnim dovolilom.
Omenjeni listini sta predmet obravnave magistrskega dela. V magistrskem delu bomo najprej sistematično predstavili načine pridobitve lastninske pravice na nepremičninah, razlikovanje predmetnih listin namreč izhaja prav iz načinov pridobitve, ki se s posamezno listino vpisujejo in so bistveni za razumevanje obravnavanih institutov. Glede na to, da sta instituta razmeroma nova bomo v magistrskem delu obravnavana instituta predstavili z veliko mero posluha za sodno prakso in s tem teoretičnemu delu dali življenje skozi sodno prakso.
Prva listina, ki je predmet obravnave je posadna listina, ki vsebuje izjavo zemljiškoknjižnega lastnika, da nasprotni stranki priznava izvirno (originarno) pridobitev lastninske pravice na nepremičnini. Druga listina pa je uskladitvena listina oziroma pogodba o uskladitvi zemljiškoknjižnega stanja z dejanskim, s katero se nadomešča pravnoposlovni prenos (derivativen prenos) lastninske pravice (ponavadi zaradi nerazpolaganja z izvirnikom) in se z njo usklajuje zemljiškoknjižno stanje z dejanskim ali služi kot nadomestitev izgubljenih oziroma uničenih izvirnikov. Gre torej za izjavo osebe, ki jo izstavlja, da dovoljuje vpis lastninske pravice v korist nasprotne stranke z namenom uskladitve ali nadomestitve.
Ključna razlika med obravnavanima institutoma je, da je pri posadni listini načelo pravnega prednika brezpredmetno, med tem, ko se pri uskladitveni listini mora načelo pravnega prednika striktno in dosledno spoštovati.
Predmetnima listinama pa je skupno, da se uporabljata le, kadar med strankami ni spora o lastninski pravici in zato ni potrebe po sodnem reševanju. Razlikovanje obravnavanih listin in doslednost sodne prakse pri presoji, ali je lahko posadna listina v konkretnem primeru podlaga za vknjižbo ali pa je v danem primeru potrebna uskladitvena listina, ki ji je potrebno skladno z spoštovanjem načela pravnega prednika priložiti pravno podlago za vsak pravnoposlovni prenos ter kljub načelu formalnosti zemljiškoknjižnega razloga vsebinska oziroma materialna presoja zemljiškoknjižnega sodišča pri odločanju o vpisu pa je bistvenega pomena za to, da se sledi namenu zakonodajalca pri uvedbi novih institutov in preprečevanje uporabe posadne listine z namenom preskoka pravnega prednika in ubiranja lažje poti, pri čemer pa niso izpolnjene zakonsko določene predpostavke originarne pridobitve lastninske pravice. Pomembno je tako najti ustrezno ravnotežje med spoštovanjem volje strank in pravno varnostjo prometa nepremičnin.

The difference between the act of the recognition and the contract on the harmonization of land registry |

In order to acquire ownership of real estate on the basis of a legal transaction, a binding and disposing legal transaction is required, and additionally, the entry into the land register as a way of earning a way through which the legal transfer of ownership of immovable property gets its external expression. The basis for enrollment is a document that meets precisely determined legal conditions. ZZK-1 from 2011 allows us to use two types of documents which can correct or office disordered state of the land register, when a client does not have such document.
The mentioned documents are the subject of a master's thesis. In the master's thesis, we will first systematically present the ways of acquiring property rights to real estate, and the differentiation of the documents in question stems precisely from the methods of acquisition, which are entered in a single document and which are essential for the understanding of the institutes under consideration. Given that the institutes are relatively new, in the master's thesis, the institute will be presented with a great deal of listening to the case-law, thus giving theoretical work life through the case-law.
The first one is the act of the recognition of title, containing a statement of a person or legal entity, that is issuing it, with a recognition of the original acquisition of title to real estate to the other party.
The second one is the contract on the harmonization of land registry with actual situation. It includes a statement of a person or legal entity, that is issuing it, to allow the registration of property rights in favor of the counterparty in order to comply an actual status of the land registry, or to replace lost or destroyed originals.
Main difference between them is the following: the purpose of the contract of the recognition of title is to acknowledge the original acquisition of title, while, the contract on the harmonization of land registry is there to replace a legal transfer of property rights (mostly due to lack of originals) and therefore constitute recognition of the derivative transfer of title.
Both above mentioned documents can be used when there is no contention on property rights between parties and consequently no need for a judicial solving. The distinction between the documents examined and the consistency of the case-law in assessing whether a crew document may be the basis for the entry in the specific case or whether, in a given case, a harmonization charter is required, which, in accordance with the principle of the legal ancestry, must be accompanied by the legal basis for each legal transaction and, The principle of the formalities of a land registry reason is a substantive or material assessment of the land registry court when deciding on enrollment is essential for following the intention of the legislator to introduce new institutes and to prevent the use of a crew document in order to skip the legal ancestor and to pick up an easier route, Legally defined assumptions of the original acquisition of property right. |
