Abstract

Veda o pogajanjih in pogajanja kot takšna segajo že v čas pred našim štetjem, kjer je bil namen pogajanj predvsem reševanje vojaških konfliktov in urejanje odnosov med državami. Pogajanja, kot jih poznamo danes, so se razvila iz vojaških znanosti in diplomacije. Pogajanja so faza pred sklenitvijo končne pogodbe, ko dve ali več strank druga drugi izkazujejo namen, da bi rade sklenile končno pogodbo. Za to, da bi ta faza pogajanj dobila neko veljavo oziroma so stranke želele utrditi že dogovorjeno med pogajanji, so se kmalu začeli razvijati številni instituti, ki so pomagali strankam, ki so se pogajale. Eden od takih institutov je tudi sporazum o pogajanjih. Sporazum o pogajanjih je neke vrste pisni dogovor med strankama pogajanj, da se bosta v dobri veri pogajali proti sklenitvi končne pogodbe. Glede na naravo sporazuma o pogajanjih in njegovo vsebino se malenkostno razlikujejo tudi njegove definicije, saj se ta lahko uporablja pred začetkom pogajanj, med pogajanji ali pa v fazi, ko je končna pogodba že skoraj sklenjena. Ta institut se največ uporablja v državah z anglosaško pravno ureditvijo in je zaradi tega dejstva v Sloveniji manj poznan. S tem povezano so tudi narava pravnega varstva in morebitne posledice kršitve tega sporazuma od države do države različne in drugače urejene. Na splošno pa lahko rečemo, da stranka, ki prekrši sporazum o pogajanjih, vedno odgovarja vsaj za nepoštena pogajanja oziroma za pogajanja v slabi veri.

Secondary title: Agreement to negotiate
Secondary abstract: Knowledge of negotiations and negotiations themselves go back to the time before our counting. In these times, their purpose was primarily to tackle military conflicts and to regulate relations between countries. The negotiations, as known today, are derived from military science and diplomacy. Negotiations are the phase before concluding the final contract, when two or more parties are showing intention to each other to conclude a final contract. With intention to give some value added to this phase of the negotiations, a number of institutes have been developed - all with one single aim - to help the parties involved in negotiation process. One of them is also a »Agreement to negotiate.« Agreement to negotiate is a sort of written agreement between the negotiating parties in order to negotiate in good faith towards the one mutual goal-conclusion of the final contract. Depending on the nature of the agreement to negotiate and its contents, its definitions are slightly different. The difference depends on the phase where it is used, namely it can be adopted before the start of the negotiations, during the negotiations, or at the stage when the final contract is almost concluded. However, we can evaluate, that this institute is mostly used in countries with Anglo - Saxon legal regulation, and because of this fact in Slovenia is less known. The latter also results in the factthat legal protection with all possible consequences for the violation of this agreement, vary from country to country. In general, it can be said, that a party, which violates the agreement to negotiate, always takes responsibility at least for unfair negotiations or for negotiations in bad faith.
