Abstract

Vedno večja konkurenca in težnja po obstoju na trgu privedeta podjetja do iskanja najustreznejših rešitev, kako uspešno upravljati in voditi podjetje. V magistrskem delu ločimo pojma upravljanje in vodenje. Upravljanje je povezano z lastniškim, vodenje pa z managerskim vidikom upravljalno-vodstvenega procesa. V mikro in malih podjetjih, pa tudi v nekaterih srednje velikih podjetjih sta tako upravljanje kot vodenje pogosto v domeni lastnika, ustanovitelja podjetja. Ta deluje v vlogi upravljalca in managerja. Ko je govora o velikih podjetjih, pa gre za kompleksnejši sistem, kjer sta funkciji upravljanja in vodenja ločeni. V primeru obravnavanega podjetja NLB, d. d., gre za delniško družbo, ki uporablja dvotirni sistem upravljanja, ki je določen za slovenska podjetja. Upravljanje in vodenje se porazdelita med organi, ki so značilni za dvotirni sistem: med skupščino delničarjev, nadzornim svetom in upravo. Skupščina delničarjev predstavlja delničarje, ki svoje pravice uveljavljajo na skupščini. Pri nadzorovanju poslovanja jim pomaga nadzorni svet, naloga uprave pa je vodenje podjetja. Za uspešno upravljanje in vodenje podjetja je treba poznati vse dejavnike, ki vplivajo na njegov razvoj in poslovanje. Upoštevati je treba zmogljivosti in resurse ter druge notranje dejavnike podjetja, kot tudi zunanje dejavnike. Oboji lahko pozitivno ali negativno vplivajo na razvoj in poslovanje podjetja ali celo ogrožajo njegov obstoj. V magistrskem delu se osredotočamo predvsem na politiko podjetja in strateški management, ki igrata pomembno vlogo na najvišji ravni upravljalno-vodstvenega procesa. Pojasnimo pomen vizije, politike podjetja, kulture, etike in verodostojnosti podjetja ter z njimi povezane vrednote. Opredelimo prednosti in slabosti ter priložnosti in nevarnosti, ki vplivajo na obstoj podjetja. Osredotočimo se na pomen družbene in okoljske odgovornosti za podjetja. Nadaljujemo s strateškim managementom, kjer predstavimo strateška poslovna področja podjetja in opredelimo njihove strategije. Magistrsko delo končamo z indeksom SEECGAN, ki je ena od mnogih metodologij, s katerimi ugotovimo, kako kakovostno je upravljanje podjetja. Zapišemo tudi ugotovitve, do katerih pridemo v magistrskem delu, in priporočila za prakso proučevanega podjetja.

Secondary abstract: Increasing competition and the tendency to remain on the market force companies to search for the most appropriate solutions on how to successfully operate and manage a company. In the master’s thesis, we separate the terms governance and management. Governance is connected with the proprietary aspect and management with the managerial aspect of the governance-management process. In micro and small companies and also some medium companies, governance and management are often the domains of the owner, founder of the company. He plays the role of the governor and manager. In the case of large companies, the system is more complex, since the governance and management functions are separated. In the case of the discussed company NLB, d. d., we are talking about a joint-stock company, which uses a two-tier corporate governance system, set for Slovenian companies. Governance and management are being distributed between corporate authorities, typical for a two-tier system: between the general meeting, supervisory board and the governing body. The general meeting represents shareholders, who exercise their rights at the meeting. The supervisory body helps with operational control and the task of the governing body is to lead the company. Successful corporate governance and management demand knowledge about all the factors, which influence the development and operations of the company. The capabilities, resources and other internal as well as external corporate factors need to be considered. Both can have a positive or negative effect on the development and operations of the company or even endanger its existence. In the master’s thesis, we particularly focus on the corporate policy and strategical management, which play an important role at the highest level of the governance-management process. We explain the importance of the vision, corporate policy, culture, ethics and credibility of the company as well as the related values. We define the advantages, weaknesses, opportunities and threats, which influence the company’s existence. We focus on the importance of social and environmental responsibility for companies. We continue with strategic management, where we present the strategical business fields of the company and define their strategies. We conclude the master’s thesis with the Seecgan index, which is one of the methodologies to determine the quality of corporate governance. We also provide the findings of the master’s thesis and recommendations for the practice of the discussed company.
