Abstract
Sodelovanje delavcev pri upravljanju oz. delavsko soupravljanje, kot ga poimenujem v magistrski nalogi, pomeni tudi soudeležbo (participacijo) delavcev v določenih organih, konkretno v organih upravljanja zavarovalnic. Čeprav Zakon o sodelovanju delavcev pri upravljanju načeloma dopušča drugačno ureditev delavskega soupravljanja v zavarovalnicah, se postavlja resno vprašanje utemeljenosti zaostrenih pogojev, ki jih ureja Zakon o zavarovalništvu za funkcije delavskih predstavnikov v upravnem in/ali nadzornem organu. V pričujoči magistrski nalogi sem izpostavil ustavni vidik omejevanja delavskega soupravljanja v zavarovalnicah z namenom, da opozorim na prekomerno poseganje v ustavno varovane pravice, zlasti z vidika enakosti pred zakonom in pravice do soodločanja. Pravna enakost prepoveduje samovoljno diskriminacijo tako pri pripravi - oblikovanju kot uporabi prava. Neenako obravnavanje podobnih položajev je dopustno le v primerih, kjer obstaja stvaren in utemeljen razlog. Takih razlogov magistrska naloga ne pripozna, ampak opozori na sporna neskladja posebne zakonske ureditve z ustavnimi normami in standardi ter prikaže konsistentne rešitve med zakonskimi predpisi in odnos teh predpisov do ustavne ter evropske ureditve, ko gre za delavsko soupravljanje v organih zavarovalnic.

Secondary abstract: |
Employees taking part in management or "worker participation in management" as it is called in this master's thesis, implies also participation of employees in certain company boards, specifically, in insurance companies, participation in the management board of an insurance company. Although the Worker Participation in Management Act, generally speaking, provides for other forms of such participation in insurance companies, there is a serious predicament as to whether the more severe conditions under the Insurance Act concerning the functions of workers' representatives in the management board and/or supervisory board are justified. The present master's thesis underlines the constitutional aspect of the constraints of worker participation in management in insurance companies in order to point to the excessive intervention into constitutional rights, in particular from the point of view of the right to equality before the law and the right to participation in the decision making. The equality before law prohibits arbitrary discrimination in the preparation - formulation of law as well as during its application. Unequal consideration of similar situations is permitted only in cases when based on actual and well-founded reasons. Such reasons are not proven by this thesis; however, it points out the contentious discrepancies between certain legal regulations and constitutional norms and standards and to illustrate solutions for legal regulations and relationships of such regulations with the constitutional and European regulations concerning worker participation in the management of insurance organisations. |
