Abstract
Vsa podjetja težijo k povečanju vrednosti premoženja in konkurenčnosti. Med drugim lahko to dosegajo tudi s prevzemi in združitvami, ki omogočajo hitrejšo, manj zahtevno in v večini cenejšo rast podjetij. Prav zaradi tega ta hip sodijo v globalni gospodarski trend. V diplomskem projektu na podlagi zbrane literature na temo prevzemov in združitev ter s proučitvijo primera prevzema Skupine Mercator s strani Agrokorja ugotavljamo njegov vpliv na uspešnost in učinkovitost prevzetega podjetja. Agrokor je ob prevzemu Mercatorja postal njegov kratkoročni lastnik z nasprotnimi, s strateškimi interesi, katerih glavni razlog je Agrokorjeva že vzpostavljena predelovalna industrija. Ugotovili smo, da se pri prevzemu Skupine Mercator s strani Agrokorja kažejo predvsem negativni učinki prevzemov. Mercator ni dosegal boljših finančnih rezultatov niti obljubljene lastniške stabilnosti.

Secondary abstract: |
All companies want to increase the value of their assets and their competitiveness. Among others, they can reach this goal with takeovers and mergers, which enable a faster, less demanding growth of the company, mostly with less costs. Precisely because of this, they are currently a global economic trend. Within the project thesis, we gather literature about takeovers and mergers and study the takeover of Mercator by Agrokor to identify its impact on the successfulness and efficiency on Mercator. When Argokor took over Mercator, Agrokor became its short-term owner with opposing strategic interests, rooting in Argokor’s already established processing industry. In the case of the takeover of Mercator by Agrokor we identified mostly negative aspects of a takeover. Mercator did not produce better financial results nor did it reach the promised ownership stability. |
