Abstract

Pogodba o leasingu je pravno orodje, s pomočjo katerega se uresniči posel financiranja investicij. Vsebina pogodbe o leasingu je v poslovni praksi relativno standardizirana, vendar kljub temu pravna teorija in izoblikovana sodna praksa zaradi inominatnosti pogodbe igrata pomembno vlogo pri interpretaciji določb vsakokratne pogodbe o leasingu. Gre za kontrakt, ki se je razvil kot produkt avtonomnega gospodarskega prava, s katerim stranki v okviru pogodbene avtonomije svobodno urejata medsebojno obligacijsko razmerje in oblikujeta morebitne posebne rešitve, med drugim tudi za primer prenehanja pogodbe, pri čemer je moč določbe vsakokratne pogodbe o leasingu analogno interpretirati ob upoštevanju zakonskih določb tistih pogodbenih tipov, katerih elementi se pojavljajo v pogodbi o leasingu. Pomembno vlogo pri interpretaciji določb in pravnih posledicah prenehanja pogodbe igra pravna narava pogodbe, ki pri pravnem poslu leasinga ni enoznačna, saj je primarno odvisna od posamične in individualne vsebine pravic ter obveznosti pogodbenih strank, ki so plod njunih pogodbenih volj. Pričujoče magistrsko diplomsko delo uvodoma obravnava tipologijo in pojavne oblike leasinga ter pravne vire pogodbe o leasingu. V nadaljevanju raziskuje pravno naravo pogodbe o leasingu ter jo skuša subsumirati pod že ustaljene nominatne in inominatne tipe pogodb. Glavni del magistrskega diplomskega dela je posvečen prenehanju pogodbe o leasingu, ki se po pravnih učinkih generalno gledano deli na redne in izredne načine prenehanja. V zadnjem delu magistrskega diplomskega dela je na kratko predstavljena usoda predmeta leasinga po prenehanju pogodbe o leasingu.

Secondary title: Termination of a Lease Agreement
Secondary abstract: Lease agreement is a legal instrument on the basis of which the financing of investments is implemented. In practice, the content of the agreement is more or less standardised, yet because of its innominate nature legal theory and case law play an important role in the interpretation of each and every lease agreement. This form of agreement has evolved as a product of autonomous commercial law which the parties use to regulate their mutual contractual obligations and to form any potential special solutions, here involved the solutions pertaining to the termination of the agreement as well. However, the provisions of individual lease agreement may also analogously be interpreted by considering statutory provisions of those contractual types whose elements can be found in the lease agreement itself. Legal nature of the agreement plays an important role in the interpretation of the provisions and legal consequences of the termination of the agreement. The legal nature of the lease relationship is not a uniform one, though, as it depends primarily on the substance of individual rights and obligations agreed between the parties. The initial part of the present thesis deals with the typology and different manifestations of the lease as well as with legal sources of the lease agreement. It then investigates the legal nature of the lease agreement and tries to place it within the established nominate and innominate types of agreements. The main part of the paper deals with the termination of the lease agreement which, considering its legal effects, may be ordinary or extraordinary termination. The last part briefly discusses the fate of the subject of the lease once the lease agreement has terminated.
