Abstract

Namen magistrskega dela z naslovom Stečajni postopek nad srednjo ali veliko družbo, je ugotoviti ali je trenutna zakonodaja na področju insolvenčnega prava zadostna, da zagotavlja varnost upnikov, ter ob tem ugotoviti, kako bi se lahko postopek prilagodil, da bi bil hitrejši, enostavnejši in bi ob tem dovoljeval manj zlorab postopka. Raziskovalne metode magistrskega dela so deduktivna metoda, s katero bomo splošno znanje iz analize zakonodaje apliciral na specifično področje stečaja nad srednjimi in velikimi družbami, deskriptivna metoda s pomočjo katere bomo opisali bistvene elemente postopka in nato skozi praktičen primer prikazali, kako deluje tak postopek v praksi, ter primerjalna metoda s pomočjo katere bomo primerjali različne načine unovčenja premoženja dolžnika. Tako bomo zasledovali cilj magistrskega dela, da dokažemo, ali postopek dopušča zlorabe s strani lastnikov družb v stečaju, cilj, kako se da reformirati položaj upnikov in upniškega odbora, cilj, kako ugotoviti najprimernejši način prodaje premoženja pri srednjih in velikih družbah in cilj, da dokažemo prevelik vpliv sodišča na postopek stečaja in prevelik vpliv sodišča na delovanje stečajnega upravitelja. To bo pripomoglo k nadaljnjemu raziskovanju tega področja ter ljudem, omogočilo vpogled v specifiko stečajne ureditve področja stečaja nad srednjimi in velikimi družbami.

Secondary abstract: The purpose of the master's thesis is to find out whether the current legislation in the field of insolvency law is sufficient to ensure the safety of creditors, and to determine how the procedure could be adapted to make it faster, simpler, allowing fewer abuses of procedure. The master's thesis employs the following research methods: a deductive method with which the general knowledge obtained by analysing the legislation will be applied to the specific area of the bankruptcy of medium and large companies; a descriptive method with which the essential elements of the process will be described and then, through a practical example, demonstrated how this process works in practice; and a comparative method with which the various ways of realizing the debtor's assets will be compared. Thus, we will pursue the following goals of the master's thesis: to prove whether the procedure allows abuse of procedure by the owners of the companies going into bankruptcy; to discover how to reform the position of the creditors and the creditors' committee; to determine the most appropriate way of selling assets in medium and large companies; and to prove the excessive influence of the court on the bankruptcy procedure and on the operation of the insolvency administrator. This will help to further explore this issue, and will provide further information, providing an insight into the specifics of the regulation of the bankruptcy of medium and large companies.
