Abstract

Magistrsko delo obravnava uporabo poenotenega prava mednarodne prodaje blaga, ki ga ureja Konvencija Združenih narodov o pogodbah o mednarodni prodaji blaga (CISG), in sicer I. del, ki vsebuje ureditev splošnih postavk za njeno veljavnost in področje uporabe konvencije (I. poglavje, 1.-6. člen). V delu bo predstavljen zgodovinski razvoj pogodbenega trgovinskega prava kot tudi potek unifikacije pravnih pravil na področju mednarodne prodaje blaga. V nadaljevanju dela bodo predstavljeni vsebinska struktura konvencije, njene temeljne značilnosti ter predpostavke in področje uporabe. Magistrsko delo bo podrobno analiziralo sodno prakso držav, ki po številu sprejetih odločitev na podlagi CISG prevladujejo, to so Nemčija, Kitajska, Rusija, Nizozemska in Švica. Zaradi pomembne vloge v svetovni trgovini bo predstavljen tudi primer sodne prakse ZDA in nedavna sodba sprejeta na Norveškem. V nadaljevanju dela bo za primerjavo predstavljena manj obsežna sodna praksa slovenskih sodišč. Analizi bo sledila empirična raziskava o obsegu uporabe CISG v mednarodni trgovini ter predstavitev vzrokov za šibko uporabo CISG v slovenski sodni praksi in državah članicah, v katerih je odstotek uporabe CISG nizek. V zaključku magistrskega dela bodo izpostavljeni ključni razlogi za neuporabo konvencije, zlasti nepoznavanje vsebine CISG ter možnost pogodbenih strank, da izključijo uporabo CISG.

Secondary abstract: This post-graduate work deals with an application of the unified law of international sale of goods, which is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG), namely Part I of the CISG, which contains the sphere of application of the Convention (Chapter I: Articles 1-6). This work will outline the historical development of contractual commercial law as well as the course of the unification of legal rules in the field of international sales of goods. The work will carry on in outline the substantive structure of the Convention, its basic features, terms and field of use. The post-graduate work will analyze in detail the jurisprudence of the countries that prevail in the number of CISG decisions, namely Germany, China, Russia, the Netherlands and Switzerland. Given its important role in world trade, the case law of the United States will be presented and a recent judgment delivered in Norway. In the following, a leš extensive case law of the Slovenian courts will be presented for comparison. The analysis will be followed by an empirical study on the extent of CISG use in international trade and a presentation of the causes for the weak use of CISG in Slovenian case law and in Member States where the percentage of CISG use is low. The conclusion of this post-graduate work will highlight the key reasons for not applying the Convention, in particular the lack of knowledge of the content of the CISG and the possibility of the contracting parties to exclude the application of CISG.
