Abstract

Delo skozi stopnje intenzivnosti prikazuje možnosti vključevanja delavcev v poslovanje vse od klasičnega delovnega razmerja, pri katerem lahko pridobijo pretežno od delodajalca odvisne dispozitivne možnosti sodelovanja tako pri upravljavski kot pri finančni participaciji, skozi prednosti lastništva deleža družbe, v kateri so zaposleni, ki jim v sorazmerju z obsegom kapitalske udeležbe prinaša članske ter z njimi upravljavske in premoženjske pravice, ter končno do posebne pravne osebe delavske zadruge, ki delavcem omogoča največ pravic, ki jih lahko uresničujejo z delom. Ravno na podlagi tovrstnega spoznanja je tem pravnim osebam v delu namenjenega več poudarka, kar skupaj na podlagi uporabljene zgodovinske metode, analitične metode, komparativne metode, metode deskripcije, metode kompilacije, induktivno-deduktivne metode in aksiološke metode privede do naslova predmetnega dela. Delavski odkupi pravzaprav predstavljajo sredstvo za dosego delavcem najbolj ugodnega obstoječega delovnega razmerja, ki jim za razliko od na enak način doseženega klasičnega "solastništva" družbe omogoča posredni položaj delničarjev preko delavske zadruge, ki jo demokratično upravljajo in v okviru katere si na enak način delijo dobiček. Namen in cilj predmetnega dela sta torej predstaviti zakonsko urejene možnosti, ki v okviru klasičnega delovnega razmerja delavcem zagotavljajo participacijske pravice, poudariti, da imajo delavci že v obstoječem (slovenskem) pravnem redu lahko drugačen položaj, ki jim na podlagi notranjega lastništva zagotavlja več pravic od klasičnega delovnega razmerja, predstaviti pot do alternativne oblike delavčevega položaja, vzpostavljene preko delavskih odkupov, in nenazadnje izpostaviti potrebo po sprejemu zakonodaje, ki bi vzpodbujala delavske odkupe, ki bi bili opravljeni predvsem preko delavske zadruge. Ravno poudarjanje te potrebe predstavlja rezultat tega dela.

Secondary abstract: The thesis discusses the possibilities of worker participation in business operation on the basis of their inclusiveness. They range from the traditional employment relationship, which offers workers mainly employer-dependent dispositive possibilities both for managerial and financial participation; to employee stock ownership, the advantages of which are both managerial and property rights proportional to every worker's share in the company; and finally to the specific legal entity of worker cooperative, which offers workers the largest amount of work-related rights. On the basis of this conclusion the thesis focuses on these legal entities. Together with the findings of the application of the historical method, analytical method, comparative method, descriptive research, compilation method, inductive-deductive method and axiological method this results in the title of the thesis work. Worker buyouts are a means to achieve the employment relationship that is most favourable to workers. In comparison to traditional "co-ownership" of the company, which can also be achieved with worker buyouts, worker cooperatives enable workers to gain an indirect shareholder status. They manage the company and share its profits in a democratic way. The purpose and goal of this thesis are therefore to present the legal options that offer participation rights in the context of the traditional employment relationship; to emphasise that workers are, even in the existing (Slovenian) legal framework, able to achieve a different status, a status that, on the basis of internal ownership, guarantees them more rights than the traditional employment relationship; to present the path towards alternative forms of worker status gained by worker buyouts; and last but not least, to emphasise the need for a legal framework that would encourage worker buyouts, especially those that employ the form of worker cooperatives. The emphasis on this need is the final result of this thesis.
