Abstract
V slovenski zakonodaji je preventivno prestrukturiranje urejeno z Zakonom o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju (ZFPPIPP). Postopek je bil uveden v zakonodajo z novelo ZFPPIPP-F. Njegov namen pa je reševanje dolžnikov, ki so še solventni, vendar se za njih predvideva, da bodo postali insolventni v roku enega leta. Pre-ventivno prestrukturiranje dolžniku omogoči, da se na podlagi sporazuma o finančnem prestrukturiranju z uporabo ustreznih ukrepov izogne insolventnosti. V diplomski nalogi najprej predstavimo ZFPPIPP, nato pa natančneje opišemo postopek preventivnega prestrukturiranja po ZFPPPIPP. Primerjamo nekatere ključne elemente preventivnega prestrukturiranja v Sloveniji z Nemčijo in Južno Korejo. Z namenom ugotavljanja podobnosti med Slovenijo in Nemčijo na kratko predstavimo tudi smernice EU na tem področju. Za konec pa na podlagi javno dostopnih podatkov ugotavljamo, koliko postopkov preventivnega prestrukturiranja v Sloveniji doseže sprejem sporazuma o finančnem prestrukturiranju, ter koliko od teh primerov se uspešno zaključi.

Preventive restructuring under ZFPPIPP |
Secondary abstract: |
The preventive restructuring procedure in Slovenian legislation is regulated by the Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act (also known as ZFPPIPP). The procedure was introduced into legislation with the ZFPPIPP-F amendment. The purpose of this procedure was to help debtors, who are not yet insolvent, but are expected to become insolvent within one year. Preventive restructuring allows debtors to avoid insolvency by applying appropriate measures based on a financial restructuring agreement. In the diploma thesis, we firstly describe the ZFPPIPP act and then explain, in more detail, the process of preventive restructuring according to the ZFPPIPP. We compare certain key ele-ments of preventive restructuring in Slovenia with those in Germany and South Korea. We also briefly explain the EU guidelines with the purpose of clarifying why there might be similarities between Slovenia and Germany. Lastly, based on publicly available data, we determine how many preventive restructuring procedures in Slovenia conclude in a financial re-structuring agreement and of these cases, how many are successfully restructured. |
