Abstract
V magistrski nalogi sta podrobneje predstavljena dva pravna instituta - faktoring in forfeting. Naloga je razdeljena na pet sklopov, pri čemer je v vsakem izmed njih najprej predstavljen faktoring, nato forfeting, temu pa sledi primerjava med njima. Končno je predstavljena relevantna sodna praksa sodišč Republike Slovenije na tem področju. Najprej je na kratko predstavljen zgodovinski razvoj obeh institutov, temu pa sledi razlaga pojma faktoring in forfeting. Faktoring se kot moderen posel bančnega prava nenehno prilagaja aktualnim tokovom poslovne prakse, zaradi česar se je razvilo več različnih tipov faktoringa, ki so prav tako podrobneje predstavljeni v prvem sklopu. Predstavljen je tudi t.i. sekundarni forfeting ter stranke, ki sodelujejo pri realizaciji omenjenih pravnih poslov. Sledi primerjava prej omenjenih tematik. Drugi sklop je namenjen funkcijam faktoringa in forfetinga ter njuni primerjavi, tretji pa prednostim in pomanjkljivostim poslovanja z njima v sami poslovni praksi. Sledi pravna ureditev faktoringa in forfetinga, pri čemer je faktoring tako na nacionalni kot tudi na mednarodni ravni urejen podrobneje od forfetinga. Pravna ureditev faktoringa je zato ločena na dve podpoglavji, za predstavitev pravne ureditve forfetinga pa to ni bilo potrebno. Tudi ta sklop se zaključi s primerjavo. V zadnjem sklopu sta najprej opredeljeni pogodbi o faktoringu ter forfetingu in njuna pravna narava. Pri forfetingu poznamo dve vrsti cesije: globalno cesijo in prenos terjatev z več posamičnimi cesijami, pravni temelj za izvedbo forfetinga pa je bodisi cesija posamezne konkretne terjatve, bodisi indosament. Omenjena tematika je predstavljena v predzadnjem poglavju, zadnji skop pa se konča s poglavjem, namenjenim dogovoru o prepovedi cediranja. Sledi še zadnja primerjava. Končno je predstavljena sodna praksa sodišče Republike Slovenije na področju faktoring poslov. Forfeting posli na naših sodiščih svojega mesta do danes še niso dobili, zato sodne prakse na to tematiko v magistrski nalogi ni predstavljene.

Comparison of factoring and forfaiting in business and court practice |

In the master's thesis, two legal institutes are presented in detail: factoring and forfaiting. The thesis is divided into five segments in which factoring is presented first, followed by forfaiting and a comparison of the two. Finally, the relevant case law of the Court of the Republic of Slovenia is presented. Firstly, I briefly present the historical development of both institutes, followed by an explanation of the terms factoring and forfaiting. As a modern business subjected to banking law, factoring is being constantly adapted to current business practices, which has led to the development of several different types of factoring; they are presented in more detail in the first segment. The so-called secondary forfaiting and the parties participating in the realisation of the aforementioned legal transactions are also presented. This is followed by a comparison of the abovementioned issues. The second segment presents the functions of factoring and forfaiting and their comparison, whilst the third aims to present the advantages and disadvantages of doing business with them in business practice itself. This is followed by the legal regulation of factoring and forfaiting, whereby factoring is regulated in more detail than forfaiting on both national and international level. The legal regulation of factoring is divided into two subchapters, but this was not necessary for the presentation of the legal regulation of forfaiting. This segment is accompanied with a comparison as well. In the last segment, a factoring contract and a forfaiting contract are defined, as well as their legal nature. There are two types of assignment in forfaiting: global assignment and transfer of receivables with several individual assignments, whereas the legal basis for forfaiting is either the assignment of an individual specific receivable or an endorsement. This topic is presented in the penultimate chapter. The last segment ends with a chapter dedicated to reaching an agreement on the prohibition of assignment and followed by the last comparison. Finally, the case law of the Court of the Republic of Slovenia as regards factoring transactions is presented. In Slovenian courts, forfaiting deals have not yet found their place, so the case law on this topic is not presented in the master's thesis. |
