Abstract

Finančni sistemi so pomemben element sodobnega gospodarstva. Oba omenjena pojma, finančni sistemi in gospodarstvo, predstavljata obširna področja, ki se danes hitro razvijajo. Hitri razvoj, poleg nove tehnologije in novih pojavov, prinaša tudi vse večjo globalizacijo in več vključenih subjektov. Da bi vse našteto delovalo v čim manjšem kaosu, je potrebna ustrezna regulacija. Na področju Evropske unije se regulacija izvaja s pomočjo pravnih aktov. Ti se med seboj razlikujejo po vsebini in uporabi. Z omenjenimi pravnimi akti tako vplivamo na zmanjšanje morebitnih tveganj, nesreč in zagotavljamo večjo sinhronost delovanja in odnosov. Med številnimi področji, ki jih pravni akti urejajo, so tudi finančni instrumenti in poslovanje z njimi. Finančni instrumenti so pomemben element finančnih sistemov, saj omogočajo poslovanje na finančnih trgih ter pri tem vplivajo na ekonomijo in gospodarstvo. V magistrskem delu je obravnavano področje pravne ureditve finančnih instrumentov, pri čemer se obravnavata tako evropska kot tudi slovenska pravna ureditev. Obravnavani pravni akti tako urejajo predvsem ureditev pogojev vrednostnih papirjev, ustrezno objavljanje in razkrivanje informacij v zvezi z vrednostnimi papirji, regulacijo kriterijev za ustanovitev in delovanje finančnih institucij na območju Republike Slovenije ter slovenskih finančnih institucij izven Republike Slovenije, upravljanje in določevanje pravil poslovanja različnih finančnih trgov ter pravila delovanja Agencije za trg vrednostnih papirjev. Glede na obravnavo evropskih in slovenskih aktov, ki regulirajo področje finančnih instrumentov, smo predvidevali, da slovenski pravni akti prevzemajo vsebino evropskih pravnih aktov. Ugotovljeno je, da predvidevano velja, saj je Republika Slovenija kot država članica Evropske unije dolžna sprejemati in spoštovati evropsko pravo.

Secondary title: Economic analysis of the law of legal regulation of financial instruments
Secondary abstract: Financial systems are an important element of the modern economy. Both terms, financial systems and the economy, represent broad fields, which are developing rapidly in the modern world. Rapid development, in addition to new technologies and new developments, results in increasing globalisation and includes more subjects. In order for all the stated elements to function in a way that is not chaotic, proper regulation is required. When it comes to the European Union, regulation is ensured by legal acts, which differ one from another in terms of content and use. With the legal acts mentioned, we can reduce possible risks and incidents, ensuring greater synchronization of operations and relationships. One of numerous fields regulated by legal acts is also financial instruments and their use in business. Financial instruments are an important element of financial systems, as they enable business on financial markets and have an impact on the economy and business. This master's thesis addresses the field of legal arrangement of financial instruments, studying both the European and the Slovene legal arrangement. The studied legal acts mostly address regulation of terms of securities, proper publication and disclosure of information related to securities, regulation of terms related to the establishment and operation of financial institutions in the Republic of Slovenia and Slovene financial institutions outside the Republic of Slovenia as well as application and formulation of business rules for different financial markets and rules of operation of the Securities Market Agency. Based on the analysis of European and Slovene acts that regulate the field of financial instruments, we assumed that Slovene legal acts adopt the content of European legal acts. It was determined that our assumptions were correct, as the Republic of Slovenia, as a member state of the European Union, is bound to embrace and observe the European law.
