Abstract

Nedelujoča podjetja in plačilna nedisciplina ogrožajo varnost pravnega prometa ter varnost upnikov v gospodarskih razmerjih. Z namenom zagotavljanja pravne varnosti udeležencev na trgu in predvsem zaščite upnikov je bil leta 1999 v slovenskem pravnem redu uveljavljen institut izbrisa gospodarskih družb iz sodnega registra brez likvidacije. Institut, ki sam po sebi ni nenavaden ter predstavlja zgolj enega od načinov prenehanja gospodarskih družb, je povzročil daljnosežne posledice in še leta kasneje v pravni stroki ni soglasja o njegovi smiselnosti. Posebnost slovenske ureditve je bila vzpostavitev osebne odgovornosti družbenikov za obveznosti izbrisanih družb, kar nasprotuje temeljnim načelom in zakonski ureditvi kapitalskih družb.

Secondary abstract: Inactive companies and payment indiscipline threaten the security of legal transactions and the safety of creditors in economic relationships. In order to ensure the legal certainty of market participants and, above all, the protection of creditors, in 1999, the Slovene legal system established an institute by which companies are struck off from the court register without liquidation. The institute, which in itself is not unusual and represents only one of the methods of winding up the companies, has caused far-reaching consequences, and years later in the legal profession there is no consensus on its sensitivity. The peculiarity of the Slovenian legislation was the establishment of the personal responsibility of the company members for the obligations of the erased companies, which opposes the fundamental principles and the statutory regulation of limited liability companies.
