Abstract

Družba preneha delovati iz različnih razlogov. V večini primerov se izvede postopek likvidacije, v katerem se unovči celotno njeno premoženje. Če je družba insolventna, pa se izvede eden izmed postopkov zaradi insolventnosti. A v času pred insolvenčnim postopkom in med njim lahko organi vodenja in nadzora storijo tudi deviantna dejanja, ki upnikom povzročijo škodo. Proučevali smo prav ta dejanja, in sicer s primerjavo sodnih praks Slovenije, Avstrije in Velike Britanije. Diplomsko delo zaključimo s sklepom, v katerem na kratko povzamemo naše ugotovitve.

Secondary title: Management liability in insolvency proceedings with case law
Secondary abstract: A company ceases to operate for various reasons. In most cases, a liquidation procedure is carried out in which the entire assets of the company are liquidated. However, when a company is insolvent, one of the insolvency proceedings is carried out. During the time before and during the insolvency proceedings, management and supervisory board may commit possible deviant actions that may cause damage to creditors. We researched these actions by analyzing the case law of Slovenia, Austria and Great Britain. We conclude the thesis with a conclusion in which we briefly summarize our findings.
