Abstract

Zfppipp na podrocju odskodninske odgovornosti clanov organov vodenja in nadzora predstavlja specialno ureditev tako glede na zgd-1 kot na oz Zfppipp ureja odskodninsko odgovornost clanov organov vodenja in nadzora za krsitev obveznosti na podrocju financnega poslovanja in odskodninsko odgovornost clanov organov vodenja in nadzora za krsitev obveznosti ki so jih clani poslovodstva in nadzornega sveta dolzni izvrsevati po tem ko druzba postane insolventna V prvem primeru gre za odskodninsko odgovornost do druzbe V drugem primeru gre za odgovornost do upnikov za skodo ki jim nastane ker zaradi stecaja njihove terjatve niso poplacane v celoti in torej ne gre za odgovornost do druzbe za nastanek polozaja insolventnosti Teoreticni del naloge predstavlja temelje ureditve odskodninske odgovornosti ter posebnosti ureditve po zfppipp V zadnjem delu je preko analize sodne prakse v izbranem obdobju predstavljeno stanje na podrocju uveljavljanja odskodninskih zahtevkov na podlagi zfppipp
