Abstract

Diplomska naloga vsebuje podatke o delniških družbah, delnicah in pravicah delničarjev. Slednje ima v tem delu najpomembnejšo vlogo. Pravice delničarjev so v Sloveniji jasno opredeljene, ureja jih Zakon o gospodarskih družbah. Tudi Evropska unija je to področje vzela pod drobnogled in ga uredila z raznimi direktivami, te pa so posledično vplivale na posamezne države članice EU. Razumeti je potrebno, da živimo v globalnem svetu, ki je postal neskončno prepleten. Delničarji so deležni različnih pravic, od premoženjskih pa do članskih. Veliko vlogo predstavlja tudi to, ali je delničar manjšinski ali večinski. Če je delničar v vodilnem položaju glede deleža, lahko pride do popolnega lastništva družbe. To je njegova pravica. Seveda je tak postopek zakonsko urejen. Manjšinski delničar pa se lahko v določeni meri »pogaja« o odškodnini, ki mu pripada v takem primeru. Pomembno spoznanje, ki ga je dobro upoštevati je, da če postanete delničar, je najprej na vas, da se o vaših pravicah in dolžnostih dodobra seznanite, da se boste lažje znašli v poslovnem svetu kot delničar.

Secondary title: ǂThe ǂrights of shareholders
Secondary abstract: This diploma thesis includes data of a stock company, shares and the rights of shareholders. The latter presents the main part of this thesis. In Slovenia, the rights of the shareholders are clearly defined and they are legally regulated by the Companies Act. The EU has reviewed the mentioned field and has regulated it with various instructions, which consequently affected the individual EU Member States. It has to be understood that we live in a global world which has become endlessly interconnected. The shareholders exercise various rights – from financial to those of membership. It is also important whether the shareholder is a minority one or a majority one. If the shareholder has the main share he can acquire the full ownership, which is his right. Of course, that kind of procedure is legally regulated. To some extent the minority shareholder can “negotiate” his compensation that belongs to him. An important cognition which is good to consider is: if someone becomes the shareholder, he or she must know his or her rights and duties to easily adapt to the business world as the shareholder.
