Abstract

Podjetja, ki zaidejo v finančne težave in postanejo kratkoročno in dolgoročno plačilno nesposobna, imajo na razpolago prisilno poravnavo ali stečajni postopek. Stečajni postopek pomeni konec obstoja oz. delovanja podjetja, prisilna poravnava pa predstavlja njegovo preživetje. V teoretičnem delu magistrske naloge smo najprej opredelili krizo podjetja in pomen tega, da podjetje nenehno spremlja svoje poslovanje, da pravočasno zazna prve znake krize, saj le tako lahko pravočasno uvede potrebne ukrepe za rešitev iz krize. V nasprotnem primeru se lahko zgodi, da podjetje zaide v stečaj. Nadalje predstavljamo novosti prisilne poravnave po ZFPPIPP-F, ki je uvedla kar nekaj novosti. Njena bistvena novost je postopek preventivnega prestrukturiranja, ki omogoča podjetju, da lahko to prestrukturiranje izvede že v fazi, ko insolventnost še ni nastopila. Novela ZFPPIPP-F je uvedla tudi dva nova ukrepa, in sicer da se lahko podjetje prestrukturira z izčlenitvijo novih družb ter prestrukturira zavarovane terjatve. Predstavljamo tudi vsebino načrta finančnega prestrukturiranja ter sam postopek prisilne poravnave od uvedbe do zaključka. V empiričnem delu pa smo proučevali novosti prisilne poravnave po ZFPPIPP-F ter njihove učinke na primeru podjetja Merkur d.d., ki je v zadnjem predlogu prisilne poravnave predlagala izvedbo izčlenitve zdravega dela na dve novoustanovljeni družbi, to sta Merkur trgovina d.d. in Merkur nepremičnine d.d. Nad družbo Merkur d.d. se bo po izvedbi izčlenitve začel stečajni postopek. Ugotovili smo, da je prisilna poravnava zelo zahteven sodni postopek, ki se ga je potrebno lotiti zelo skrbno in natančno, saj za podjetje predstavlja še zadnjo možnost, preden se nad njim začne izvajati stečajni postopek.

Secondary abstract: Companies that get into financial difficulties and become short and long term insolvent, have a compulsory composition or bankruptcy proceedings at their disposal. Bankruptcy proceedings are the end of company’s existence or operation, compulsory composition is its survival. The theoretical part of the master's thesis defines a corporate crisis and the importance of company’s continuous monitoring of its operations in order to detect the first signs of crisis in time because that is the only way to adopt the necessary measures to resolve the crisis right in time. Otherwise, it may happen that the company gets bankrupt. Furthermore, we introduce the novelties of compulsory composition according to Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act (ZFPPIPP-F - Official Gazette RS, nr.13/14). Its main novelty is the process of preventive restructuring, allowing the company to carry out the restructuring already at a stage where insolvency has not yet occurred. The amendment ZFPPIPP-F has also introduced two new measures, namely that the company can restructure itself with the spin-offs and the restructuring of receivables. We also introduce the content of the financial restructuring plan and the procedure of compulsory composition from implementation to completion. In the empirical part, we studied novelties of compulsory composition under ZFPPIPP-F and their effects on the case study of the company Merkur, which in the last proposal of compulsory composition suggested two spin-offs of healthy core, namely Merkur trgovina and Merkur nepremičnine. After completion of the spin-offs bankruptcy proceedings over Merkur will start. We determined that the compulsory composition is a very complex judicial process, which has to be addressed very carefully and precisely, because it represents for the company one more opportunity before bankruptcy proceedings take place.
