Abstract

Zaradi finančna krize, ki je prizadela ves svet se večina podjetij in bank srečuje s krizo. Da podjetja in banke ne bi takoj potrebovala pomoči, si prizadevajo povečati osnovni kapital, a so omejeni zaradi zakonodaje. Zato so vedno bolj v trendu zamenljive obveznice, ki imetniku omogočajo zamenjavo iz dolžniškega kapitala v lastniškega. V Sloveniji je eden izmed problemov zakonodaja. O zamenljivih obveznicah se premalo govori in ker do krize njihova uporaba ni bila tako nujna, ni bilo potrebe po spreminjanju zakona. Poznavanje hibridnih vrednostnih papirjev in mešanih obveznic se mi za banke in podjetja zdi zelo pomembno. Ker je cilj vsakega podjetja in banke čim večji dobiček, v času krize pa obstoj na trgu, je poznavanje in uporaba finančnih instrumentov zelo pomembna. Vendar je potrebno tudi spremljati zakonodajo, če pride do kakšnih sprememb ali dopolnil v zakonu, ki bi omogočile lažjo izdajo ali poslovanje z zamenljivimi obveznicami.

Secondary title: Convertible bonds (Contigent Convertible bonds) implementation into Slovenian law
Secondary abstract: Due to the financial crisis that has affected the entire world, most companies and banks are facing a crisis. In order not to need the bailout immediately, the firms and banks try to increase the share capital, but they are limited by legislation. Therefore, convertible bonds are asked for since they permit the holder to transform the debt capital into the equity. In Slovenia, one of the problems is legislation. The convertible bonds are not well known and since their use was not so urgent until the crisis burst out, there was no need to amend the law. In my opinion it is very important that the banks and companies are familiar with hybrid securities and mixed bonds. Since the objective of every business and each bank is to maximize their profits and in a time of crisis the existence of the market, the knowledge and use of financial instruments is very important. However, it is also necessary to monitor legislation, in case that there are changes or amendments of the legislation which would facilitate the issue or transactions with convertible bonds.
