Abstract

Odstop od pogodbe je sankcija s katero prodajalec razveže pogodbeno razmerje, kadar kupec krši pogodbene obveznosti. Gre za oblikovalno pravico, ki je usmerjena v prenehanje obstoječega pogodbenega razmerja in strankama ni več treba izpolniti pogodbenih obveznosti, oziroma stranki pridobita nazaj predmet že izpolnjenih obveznosti. Pogoji za odstop od pogodbe so za prodajalca določeni v 64. členu CISG. Prodajalec lahko nemudoma odstopi od pogodbe, če kupec krši katero od svojih pogodbenih obveznosti na podlagi pogodbe ali CISG in ta predstavlja bistveno kršitev pogodbe. V kolikor kupec ni izpolnil svoje obveznosti s tem, da blaga ni plačal ali prevzel, lahko prodajalec postavi kupcu naknadni razumni rok za izpolnitev, po neuspešnem izteku katerega lahko prodajalec odstopi od pogodbe ne glede na to ali je kršitev bistvena ali ne. Pravica do odstopa od pogodbe pa lahko nastane že v trenutku, ko kupec pred iztekom dodatnega roka izjavi, da svoje obveznosti ne bo izpolnil niti v tako določenem roku. Po CISG do razveze nikoli ne pride ipso facto, temveč le po enostranski izjavi prodajalca, da odstopa od pogodbe. Prodajalec mora paziti na pravočasen odstop, saj lahko v primeru, da kupec vendarle plača kupnino, sicer obstoječo pravico odstopa izgubi.

Secondary abstract: Avoidance of contract is a remedy available to the seller, if the buyer fails to perform any of his obligations under the contract or CISG. Seller's right to avoid the contract leads to termination of the contractual relationship and the parties no longer have to fulfill a contractual obligation and they both regain any subject or the contractual obligation they might have already fulfilled. Article 64 CISG identifies the conditions under which the seller will be available to avoid the contract if the buyer breaches his obligations. Regardless of the nature of the breach, the seller may declare the contract avoided if the failure by the buyer to perform any of his obligations amounts to a fundamental breach of contract. In the case of a breach, concerning payment and taking delivery, the seller can fix an additional period of time during which the buyer must perform. If the buyer fails to perform or declare that he will not do so during that period, the seller will be entitled to avoid the contract irrespective of whether the buyer's breach is fundamental or not. Under the CISG there is no ipso facto avoidance which would operate by law even in the absence of a declaration of the seller. In order to effectively avoid the contract, the seller must give a declaration of avoidance. The seller must be careful to declare the contract avoided within the time limits. If the buyer has paid the price after all, the seller loses the right to declare the contract avoided.
