Abstract

Vključitev standardnih pogojev v pogodbo po Konvenciji ZN o mednarodni prodaji blaga (CISG) povzroča v praksi nemalo težav. To je posledica dejstva, da ni enotnega vodila, ki bi dajalo odgovor na vprašanje, kdaj so standardni pogoji veljavno vključeni v pogodbo. Prav neenotnost povzroča v praksi nejasnosti, ki pa so na področju prava najmanj zaželene. Da bi odpravili nejasnosti zadevno diplomsko delo predstavlja zaokroženo celoto ključnih elementov, ki se nanašajo na vključitev standardnih pogojev v pogodbo. V prvi vrsti se ukvarja s primeri, ki so se že pojavili in so tudi najbolj pogosti v praksi. Vse to z namenom, da se bralec lahko seznani z aktualno sodno prakso in nanje opirajočimi se odločitvami. Ravno sodne odločitve so bile predmet obsežnega avtorjevega raziskovanja z namenom izluščiti najpomembnejše kriterije, ki morajo biti izpolnjeni za veljavno vključitev standardnih pogojev v pogodbo. Kot izhaja iz avtorjevih ugotovitev, se ti kriteriji razlikujejo od okoliščin primera. Predvsem jezik, način sklepanja pogodbe, praksa med strankama, mednarodni običaji so okoliščine, ki lahko povsem spremenijo zahteve za vključitev splošnih pogojev pogodbo. Čeprav so okoliščine primera zelo pomembne, pa je v diplomskem delu moč najti načelna izhodišča, brez katerih vključitev splošnih pogojev v pogodbo skoraj gotovo ne bo uspešna. Torej ima zadevno diplomsko delo dvojen pomen. Prvi, seznaniti se z osnovnimi zahtevami, ki so potrebne za veljavno vključitev standardnih pogojev v pogodbo. Drugi, skozi prizmo številnih praktičnih primerov, ki so bodisi resnični ali izmišljeni, dati bralcu pogled kako okoliščine spreminjajo zahteve in se tudi seznaniti s temi posebnimi zahtevami za veljavno vključitev splošnih pogojev. Na koncu pa še diplomsko delo ponuja rešitve glede specifičnih vprašanj vključitve standardnih pogojev, kot je npr. konflikt standardnih pogojev, ki zaradi svojih posebnosti zasluži posebno mesto v diplomskem delu.

Secondary abstract: Incorporation of standard terms into the contract under the UN Convention on Contracts for the International Sale of Goods (CISG) causes significant difficulties in practice. This is due to the fact that there does not exist only one single guideline, dealing with the question of when standard terms valid incorporation can be deemed applicable for a contract. It is exactly this disunity which causes uncertainties in practice that are least desirable in legal practice. In order to eliminate the ambiguity this diploma presents a complete set of key elements relating to the inclusion of standard terms into a contract. In the first instance it deals with cases which have already occurred and are most common in practice. This section is put in place so that the reader may become familiar with current case law and court decisions issued in these cases. Particularly court decisions have been subject of author’s extensive research in order to extract the most important criteria that must be met in order for a valid inclusion of standard terms in the contract. As follows from the author’s findings, these criteria differ from the circumstances of the case. In particular: language, method of concluding the contract, the practice established between the parties and international customs are all circumstances which can completely change the requirements for valid incorporation of standard terms in to the contract. Although the circumstances of each case represent a very important feature, the thesis also provides principled positions that have to be met, since otherwise, the inclusion of standard terms will almost certainly not be successful. Thus, the diploma carries double value. Firstly, it enables the readers, to acquaint themselves with the basic requirements for a valid incorporation of standard terms into the contract. Secondly, through the prism of a number of practical examples that are either real or fictitious, it gives the reader a view on how peculiar circumstances affect the requirements. And importantly, it gives an opportunity to become aware of these specific requirements as well. Finally, the thesis offers a solution to the specific questions related to inclusion of standard terms, such as conflict of standard terms which due to its specific characteristics deserves a special place in the degree.
