Abstract

V magistrskem delu smo predstavili različne načine sklepanja gradbene pogodbe. V Republiki Sloveniji se gradbene pogodbe sklepajo na podlagi Obligacijskega zakonika (OZ), Posebnih gradbenih uzanc (PGU) in določil FIDIC. Med različnimi načini sklepanja gradbene pogodbe smo v teoretičnem delu magistrskega dela naredili primerjavo, pri kateri smo se omejili na primerjavo razmerij med pogodbenimi strankami (naročnikom in izvajalcem) na podlagi bistvenih sestavin gradbene pogodbe, in sicer predmeta pogodbe, pogodbene cene, roka izvedbe in garancije za izvedbo del, ter nebistvenih sestavin gradbene pogodbe, plačila in zavarovanja. V iskanju podobnosti in razlik smo naredili kratek povzetek bistvenih ugotovitev, ki so se nanašale na primerjave. Ker pa je medsebojno sodelovanje različnih držav pri graditvi objektov že dolgo časa poslovna praksa, menimo, da je potrebno vedeti tudi, v kolikšni meri se slovenska določila razlikujejo od tujih. Pri primerjavi tuje zakonodaje s slovensko so nas zanimala nemška določila Verdingungsordnung für Bauleistungen (VOB), ki smo jih primerjali s Posebnimi gradbenimi uzancami. V empiričnem delu magistrskega dela smo predstavili primer javnega naročila gradnje v skladu s slovensko zakonodajo na konkretnem primeru, pri katerem nas je zanimalo, kako javno naročilo gradnje poteka v praksi. Za dani primer javnega naročila gradnje smo s pomočjo primerjav iz teoretičnega dela izbrali ustrezen način sklenitve gradbene pogodbe.

Secondary abstract: The Master’s thesis addresses different ways of entering into construction agreement. In Slovenia, construction agreements are concluded on the basis of the Obligations Code, Special Usages for Construction and the FIDIC provisions. In the theoretical part of the thesis, we compare different ways of entering into construction agreement, in particular relationship between the participants involved in the construction project (contracting authority and contractor), in terms of both essential components of a construction agreement, namely the object of the agreement, the agreement price, the completion date and guarantees for works, as well as non-essential components of construction contracts, payments and insurance. In the theoretical part of the thesis, similarities and differences between these provisions are highlighted, including a brief summary of key findings related to the comparison. Since cooperation between different countries in the construction of buildings has been business practice for a long time, we believe that it is necessary to know the extent to which the legislative provisions in Slovenia differ from the ones in foreign countries. We made a comparison between the Slovenian legislation regulating this area, in particular Special Usages for Construction, and the German Verdingungsordnung für Bauleistungen (VOB). In the empirical part, we present an example of a public call for building works implemented in accordance with the Slovenian act; our focus was on how the public works agreement takes place in practice. By means of comparisons made in the theoretical part, we selected an appropriate way to conclude a construction agreement for the aforementioned example.
