Abstract

Swap oziroma pogodbe o zamenjavi spadajo med derivativne finančne instrumente, s katerimi si stranki v prihodnosti običajno izmenjujeta denarne tokove ali druga sredstva, katerih vrednost je odvisna od enega ali več premoženj ali indeksov premoženj. V njeni kratki zgodovini se je trg zamenjav pospešeno večal, pri čemer se je vzporedno razvijala tudi njena standardizirana dokumentacija. Za povezovanje potencialnih strank so na voljo posredniki in trgovci, kateri pomagajo pri iskanju strank z ujemajočimi se potrebami. Gre za alternativo uradnim trgom, ki ima privatno okolje in je manj reguliran. Pogodbe o zamenjavi se lahko sklepajo tudi izključno po slovenskem obligacijskem pravu, pri čemer je potrebno predmetno pogodbo uvrstiti v določeno vrsto oziroma tip pogodbe ali izven njih, da se lahko na podlagi tega uporabi ustrezna norma, še posebej za primere, ko se stranki ne dogovorita o vseh sestavinah pogodbe. Ker pa je pogodba nemalokrat z mednarodnim elementom, lahko pride do kolizije pravnih redov več držav. Da bi se stranki izognili morebitnim bodočim negotovostim in sporom, je potrebno vnaprej dogovoriti določena vprašanja, vključno z izborom foruma ter prava, ki naj velja za njuno pogodbeno razmerje. Pri tem je potrebno paziti na vsa ostala pravila in institute, kateri veljajo v mednarodnem okolju in lahko posegajo v njun dogovor. Nazadnje je opredeljena vloga zamenjav kreditnega tveganja v gospodarski krizi iz leta 2008.

Secondary abstract: Swaps or swap contracts are derivative financial instruments which are used by counterparties to usually exchange financial flows or other resources, the value of which depends on one or more assets or asset indexes. In their short history the swap market had an accelerated growth in which their standardized documents were also developed at the same time. Swap brokers and swap dealers help to connect potential clients with matching needs. It is an alternative to official markets with a private environment and it is less regulated. Swap contracts can be made under Slovenian law too, however they have to be categorized under a certain contractual type but not necessarily, so if a contract does not fit into any of them, to determine which rules to use, especially when parties do not make agreements on all components considered in the contract. Because the contracts often have an international element, there can be collisions between legal systems of several countries. To avoid eventual future uncertainties and disputes parties must agree on certain questions in advance, like for example court of law and legal system that governs their contract. Also other regulations that affect the international environment need to be considered. Lastly the role of credit default swaps in the economic crisis in 2008 will be defined.
