Abstract

Nadzorni svet je organ v gospodarski družbi, katerega temeljna naloga je nadzor nad poslovanjem družbe. Poleg osnovne funkcije ima nadzorni svet tudi druge pristojnosti, in sicer: imenovanje in odpoklic uprave, soglasje k določenim poslom, pristojnosti v zvezi s sprejemanjem letnega poročila, itd. Nadzorni svet sestavljajo njegovi člani, ki morajo svoje obveznosti izpolnjevati s potrebno skrbnostjo. V primeru, da družbi nastane škoda, ki je posledica napačnih odločitev članov nadzornega sveta, le-ti odškodninsko odgovarjajo družbi za škodo, razen če dokažejo, da so svoje obveznosti izpolnjevali s potrebno skrbnostjo. Banke so gospodarske družbe, ki imajo zaradi svoje dejavnosti na trgu poseben gospodarski pomen. Pravna ureditev bank je tako nekoliko drugačna kot pravna ureditev ostalih gospodarskih subjektov. To velja tudi za ureditev položaja nadzornega sveta v bankah, kar se kaže predvsem v njegovih specifičnih pristojnostih. S tem pa so povezane tudi dodatne zadolžitve članov nadzornega sveta. Tudi člani nadzornega sveta bank odškodninsko odgovarjajo banki za škodo, ki je nastala kot posledica njihovih napačnih odločitev, pri tem pa se zaradi specifičnih nalog in zahtevanih dodatnih znanj težje razbremenijo odgovornosti. V magistrskem delu bodo podrobno opisane pristojnosti nadzornega sveta v bankah ter obveznosti posameznih članov, katere izhajajo iz teh pristojnosti. Glede na to, da je za ugotovitev odškodninske odgovornosti posameznega člana pomembna stopnja skrbnosti, ki se pri izpolnjevanju obveznosti od njega zahteva, bo poseben poudarek tudi na opredelitvi zahtevane skrbnosti ter s tem povezane razbremenitve odgovornosti. Poleg tega bodo predstavljene predpostavke odškodninske odgovornosti ter način njihovega dokazovanja ter oblike zavarovanja odškodninske odgovornosti.

Secondary abstract: Supervisory Board is an authority in company whose basic task is to oversee company's operations. In addition to the basic functions, the Supervisory Board has also other competences, namely the appointment and removal of Management Board, consent to the specific engagement, competence in respect of the adoption of the annual report, etc.The Supervisory Board consists of its members, who must carry out their obligations due diligence. In the event that the company could incur damage as a result of wrong decisions of the Supervisory Board, they are responsible for damages of company, unless they can demonstrate that they observed their obligations with attentiveness. Banks are business companies with special economic importance in the market due to their activities. Legal regulation of banks is somewhat different from the legal regulation of other economic operators. This also applies to regulationposition of the Supervisory Board of the bank, which is mainly reflected in its specific responsibilities. However, this is also related to additional memberassignments of the Supervisory Board. Even members of the Supervisory Board of the bank are responsible for the damage that has occurred as a result of their wrong decisions, while the result of specific tasks and required additional skills are more difficult to remove the burden of responsibility. In this master’s thesis we are detailing the powers of the Supervisory Council of the Bank and the commitments of individual members, which derive from these powers. In order to establish liability of each member is important the level of attentiveness, which is required. There will be a special emphasis on the definition of the required diligence, and the associated liability relief. In addition, assumptions of liability, mode of proof and the forms of liability insurance will be presented.
