Abstract

Diplomsko delo z naslovom Prehod iz dvotirnega v enotirni sistem upravljanja v družbi Impol 2000 d.d. bralcu predstavi tematiko poteka prehoda in značilnosti posameznega sistema upravljanja. V diplomskem delu je najprej predstavljena delniška družba, nato Evropska delniška družba. Predvsem ureditev Evropske delniške družbe je pomembna za razvoj enotirnega sistema upravljanja kapitalskih družb v našem pravnem redu. Nato smiselno sledi predstavitev temeljnih značilnosti enotirnega sistema upravljanja in dvotirnega sistema upravljanja, hkrati s predstavitvijo posameznih organov. Predstavljena so tudi razmerja med organi, ter prednosti in slabosti obeh sistemov. Nazadnje je v diplomskem delu predstavljena družba Impol 2000 d.d., ter družbina nova ureditev, to je uvedba enotirnega sistema upravljanja. Opisan je postopek in dokumenti, ki so bili potrebni za prehod iz dvotirnega sistema upravljanja v enotirni sistem upravljanja. Najpomembnejši dokument je Statut družbe, ki je bil zaradi spremembe sistema upravljanja v večinskem delu tudi spremenjen. Ker družba Impol 2000 d.d. izpolnjuje večino predpostavk za enotirni sistem upravljanja, nas to privede do zaključka, da je bila uvedba enotirnega sistema upravljanja v družbi Impol 2000 d.d. smiselna, saj je doprinesla predvsem boljše sodelovanje med organom nadzora in organom poslovodstva, kar posledično izboljša potek informacij med organoma.

Secondary abstract: Graduation work with the title Transfer from two-tier to one-tier system of management in the company Impol 2000 d.d. represents to the reader course od transfer and characteristics of particular system of management. At first in graduation work are represented corporation and Europian corporation. Regulation of the Europian corporation is particulary important for the development of one-tier system management of corporations in our law order. Then follows the representation of basic characteristics of one-tier and two-tier system of management, with presentation of individual organs (organisations). Relations between organs (organisations), advantages and disadvantages of both systems are also represented. Finally, there is also represented company Impol 2000 d.d. and company’s new arrangement – introduction of one-tier system of management. We have described the course and documents, which were necessary for the transfer from two-tier to one-tier system management. The most important document is the company’s statue. This document was mostly changed due to the new system management. Because the company Impol 2000 d.d. suits most of the hypothesis, we can conclude, that in the company Impol 2000 d.d. induction of one-tier system of management was significant. It will contribute mainly to the better cooperation between organ (organization) of supervision and organ (organization) of management, which improves the transfer of informations.
