Abstract
Zavedati se je treba, da podjetja brez inovacij, racionalizacij in drugih aktivnosti ne bodo mogla uspešno konkurirati na vedno bolj zahtevnem tržišču. Način pridobitve prednosti pred konkurenti, sinergijskih učinkov in razpršitve poslovanja na druga območja je tudi s prevzemom ali združitvijo. Seveda pa so poleg prednosti prisotne tudi slabosti oz. pasti. Največkrat je prevzem tvegan zaradi pomanjkanja izkušenj, nezadostne kadrovske pokritosti, preveč optimističnih napovedi sinergijskih učinkov, je pa po drugi strani tvegano tudi stopicanje na mestu in neizkoriščanje potenciala, ki je na trgu. Prevzem da ali ne? Enostavnega odgovora na to vprašanje ni. Pretehtati je treba, ali je tveganje manjše, kot so pričakovane koristi, in ali je podjetje zmožno unovčiti potenciale le-tega.

Secondary abstract: |
We have to be aware of the fact that the companies without innovations, rationalizations and other activities won't be able to compete on more and more demanding market successfully. One way to gain the leading position in comparison to the competition, synergy effects and spreading the business is with mergers and acquisitions. But with advantages there are also some disadvantages. The main risk is lack of experience, insufficient human resources, too optimistically forecasts of synergy effects. But on the other hand it is also risky being in one and the same place all the time without living the full potential, which is on the market. Acquisition yes or no? There is no simple answer. The benefits coming from acquisition should precede the risk that the company is taking. |
