Abstract
Glede na zgodovino razvoja gospodarstva, lastniško strukturo in korporativno kulturo prevladuje v Sloveniji mnenje o zelo nizki verjetnosti odškodninskih tožb proti managerjem družb. Zato se ti večinoma niti ne zavedajo svoje odgovornosti in posledično ne poznajo možnih rešitev odškodninske zaščite premoženja družbe in svojega osebnega premoženja.
Po razvpitih primerih več sto milijonskih in milijardnih odškodninskih tožb po letu 2000 v ZDA in EU je postalo aktualno vprašanje kazenske in tudi odškodninske odgovornosti. Z globalno gospodarsko krizo se je tudi v Sloveniji izjemno povečalo število prisilnih poravnav in stečajev podjetij. Temu je sledilo preverjanje zakonitosti in pravilnosti odločitev ter odgovornosti članov organov nadzora in vodenja v teh družbah. Posledica so tudi vložene številne kazenske ovadbe in odškodninske tožbe zoper odgovorne osebe.
Kljub ustrezni zakonodajni ureditvi, primerljivi z Avstrijo in Nemčijo, v Sloveniji še nimamo skoraj nobene sodne prakse pri uveljavljanju odgovornosti za nastalo škodo. Zato tudi ni zavedanja niti povpraševanja po zavarovanju tovrstne odgovornosti, tako je zavarovanje članov organov vodenja in nadzora v slovenskih družbah bolj izjema kot pravilo.
Strokovnjaki korporativnega prava in upravljanja se zavedajo, da družbe in managerji zelo potrebujejo D&O zavarovanja zaradi zaščite premoženja delničarjev in managerjev. Z analizo primerov slovenskih odškodninskih tožb v zadnjih 15-ih letih smo v tej raziskavi nedvoumno dokazali, da izpostavljenost družb in njihovih članov organov vodenja in nadzora do odškodninskih zahtevkov ni več nizka in se vsak dan povečuje, posledično je tveganje tožb vedno večje. Zato družbe in njihovi managerji nujno potrebujejo D&O zavarovanje. To zavarovanje v prvi vrsti ščiti družbo, da vsaj delno nadomesti škodo managerjev.

Given the history of economic development, ownership structure and corporate culture in Slovenia prevailing opinion on a very low likelihood of lawsuits against managers of companies. So they usually are not even aware that they are responsible and, consequently, they do not know the possible solutions to protect the company's assets and their personal assets from liability claims.
After notorious cases hundreds of millions and billions of claims lawsuits since year 2000 in the United States and the EU, the question of criminal and damages liability also become topic. With the global economic crisis in Slovenia also increased the number of administrative receiverships and bankruptcies. This is followed by verification of the legality and regularity of the decision and the responsibility of members of the supervisory board members of these companies. The result is also numerus filed criminal complaints and liability claims against responsible persons.
Despite appropriate regulatory regime comparable with Austria and Germany, Slovenia has not yet virtually no law case in enforcing liability. Therefore, there is no awareness nor the demand for insurance against such liability, so liability insurance for members of the management and supervisory bodies in the Slovenian companies is more the exception than the rule.
Corporation law and governance experts are aware that companies and managers need a D&O insurance to protect the assets of shareholders and managers. By analyzing examples of Slovenian claim lawsuits in the last 15 years, in this study we have clearly demonstrated that exposure of corporations and their members of the control and management to liability claims is no longer low and is growing every day, consequently, the risk of litigation growing. Therefore, companies and their managers need D&O insurance. This insurance primarily protects the company to, at least partly, compensate for managers damages. |
