Abstract

V diplomski nalogi je obravnavana tema s področja finančnega leasinga v Sloveniji z iskanjem njegove pravne narave v pogodbenem pravu in analizo možnih razlogov, ki so vzrok za prenehanje veljavnosti pogodbe o finančnem leasingu. Pri nas finančni leasing ni zakonsko urejen in tudi Konvencije UNIDROIT o mednarodnem finančnem leasingu nismo ratificirali. V diplomski nalogi je najprej predstavljen finančni leasing na splošno, nato so opredeljene sestave ter načela pri iskanju njegove pravne narave. Podrobneje so razloženi interesi, cilji in namene strank, ki sklepajo leasing pogodbe. Pojasnjeno je, kako je urejen prenos lastninske pravice na predmetu, za katerega je bila sklenjena leasing pogodba, kako je s stroški in obroki ter z vsebino pogodbe. Opisane so pogodbe, ki se jim leasing pogodba najbolj približa kot pogodba posebne pravne narave. Posebej sta opisani dve pogodbi (pogodba o dobavi blaga in pogodba o leasingu), ki sestavljata posel finančnega leasinga po Vzorčnem zakonu UNIDROIT o leasingu. V četrtem poglavju so analizirani možni razlogi za prenehanje leasing pogodbe. Po načinu prenehanja je pogodba ločena na pogodbo, ki preneha po preteku časa, za katerega je bila sklenjena – redni potek pogodbe, in pogodbo, ki preneha iz določenega razloga že pred potekom časa, za katerega je bila sklenjena – izredni potek pogodbe. Najpogostejši razlog prenehanja leasing pogodbe je plačilna nedisciplina. Poznamo tudi druge razloge, ki privedejo do prenehanja leasing pogodbe; ti razlogi so neodvisni od volje pogodbenih strank, zato so predstavljeni posebej. Konec četrtega poglavja je osredotočen na Vzorčni zakon UNIDROIT. Podrobno je pojasnjeno, kaj pomeni neizpolnitev pogodbe po tem zakonu. Ta zakon namreč pozna enoten pojem kršitve. Pomembno je, ali je kršitev bistvena ali nebistvena. Gre za izjemo člena, ki pravi, da odstop od pogodbe v primeru bistvene kršitve lahko zahteva samo leasingodajalec. V petem poglavju je opisano prenehanje leasing pogodbe po posebnih predpisih. V šestem poglavju so podane sklepne ugotovitve. V diplomskem delu so – zraven prispevkov pravne teorije – predstavljene tudi odločbe naših sodišč v konkretnih primerih.

Secondary title: TERMINATION OF THE CONTRACT OF FINANCIAL LEASING
Secondary abstract: The theme of this thesis is from the field of financial leasing in Slovenia; it deals with its legal nature in contract law and possible causes for financial leasing contract termination. In our country, financial leasing is not regulated by law and the UNIDROIT Convention on International Financial Leasing is not ratified. In the thesis, the financial leasing is first presented in general terms, then the formulation and principles in search of its legal nature are defined. There is a more detailed explanation of interests, goals and intentions of clients entering into contract. It is explained how the transfer of property is arranged for the object for which a leasing contract has been concluded, and what is with costs, instalments and contract content. Described are contracts the leasing contract comes the closest to as a contract of a special legal nature. The two contracts (goods supply contract and leasing contract) composing a leasing transaction based on UNIDROIT Model Law on Leasing are described separately. In chapter four, possible reasons for leasing contract termination are analysed. Based on termination method, the contract can be a contract terminated after the period for which it was concluded–regular course of a contract, and a contract terminated during the period for which it was concluded–irregular course of a contract. The most often reason for leasing contract termination is late-payment culture. There are also other reasons causing leasing contract to be terminated; these reasons are not dependant on the intentions of contracting parties, which is why they are presented separately. The end of chapter four focuses on UNIDROIT Model Law. It is explained in detail what it means not fulfilling a contract based on this law. In other words, this law knows a uniform breach concept. It is important whether a breach is material or non-material. This is an article exception stating that only a lessor can demand a contract withdrawal due to a material breach. In chapter five, leasing contract termination due to specific regulations is described. The conclusions are given in chapter six. In addition to legal theoretical contributions, the decisions of our courts in particular cases are also presented in this thesis.
