Abstract

Diplomska naloga obravnava procesno nasledstvo v pravdi kot posledica statusnega preoblikovanja gospodarske družbe. Pravda oziroma pravdni postopek je zgrajen po sistemu dveh strank, med katerima obstaja spor, ki ga mora sodišče rešiti. V primeru prenehanja stranke, gre za dogodek, ki vpliva tudi na sposobnost biti stranka v pravdnem postopku, saj je meritorno odločanje o tožbenem zahtevku mogoče le pod pogojem, da v pravdo vstopi pravna naslednica prvotne stranke. Zato se na tem mestu pokaže kot zelo pomemben institut procesnega nasledstva stranke, ki omogoča pravnemu nasledniku stranke, da vstopi v pravdni postopek namesto prvotne stranke. V primerih statusnega preoblikovanja gospodarskih družb pravne naslednice družbe pridobijo procesno nasledstvo v pravdnem postopku na podlagi univerzalnega pravdnega nasledstva. Univerzalno pravdno nasledstvo vključuje tako materialno kot procesno nasledstvo. S procesnim nasledstvom je omogočeno pravnemu nasledniku družbe, da vstopi v pravdni položaj družbe, ki je prenehala, in postane njen pravdni naslednik glede pravic, obveznosti ter pravdnih razmerij. S tem pridobi sposobnost biti stranka v pravdnem postopku, zato se lahko pravdni postopek nadaljuje in sledi meritorno odločanje o tožbenem zahtevku.

Secondary abstract: The diploma thesis considers procedural succession in litigation as consequence of change of form (of companies). The litigation is structured as a system of two parties in a dispute, which has been brought before the court of justice and has to be resolved by the court. Termination of party also affects her ability to be a party in litigation, because the substantive decision of the court on a claim is only possible under the condition of entry, of the legal successor of the original party. Regarding this issue, the institute of procedural succession plays a very important role and ensures the legal successor of the party to enter into the litigation instead of the original party. In the case of the change of legal form (of companies), legal successors of the company obtain procedural succession in litigation on the basis of universal legal succession. Universal legal succession includes material and procedural succession. The procedural succession enables the legal successor to enter into the legal situation of the company and becomes his successor in rights, obligations and legal relationships. This institute gives the legal successor a right to be a party in litigation. Therefore, the proceedings may continue with legal successor following the substantive decision of the court on a claim.
