Abstract

Konkurenčno pravo varuje konkurenco na prostem trgu, kontrola koncentracij pa je ena izmed najbolj klasičnih področij konkurenčne politike. Pri nadzoru koncentracij na ravni Evropske unije ima glavno besedo Evropska komisija, zaradi pomembnosti področja pa ga praktično ureja tudi vsaka država članica. Cilj nadzora koncentracij je presoja ali se lahko dve ali več gospodarski družbi združita (v širšem smislu, tj. v statusnem ali pogodbenem smislu) in predvsem, ali bi takšna združitev negativno vplivala na konkurenco na trgu. Negativen vpliv pa lahko nastane tudi že pri lastništvu neobvladujočih manjšinskih deležev v podjetju konkurenta. Tak manjšinski delež lahko znatno pomaga njegovemu lastniku do neupravičene prednosti v tekmi na prostem trgu. Zato se je Evropska komisija odločila, da bo uredila pravno področje tržnih koncentracij s poudarkom na neobvladujočih manjšinskih deležih; področje, ki je do sedaj predstavljalo pravno luknjo. Diplomsko delo najprej predstavi trenutno pomanjkljivo pravno ureditev in težave, ki se pojavljajo, kar podpre tudi s primeri iz prakse. Nato se osredotoči na samo reformo, kjer je predstavljena njena vsebina in obseg. Na koncu pa je podan še kratek sklep ali reforma resnično prinaša rešitev na področju pridobitve neobvladujočega manjšinskega deleža ali pa predstavlja samo lepotni učinek.

Secondary abstract: Competition law safeguards the competition on the free market. The concentration control on the other hand is the most classic field of the Competition policy. The European Commission is in charge of monitoring the concentration at the EU level, but due to the importance of the situation it is being managed by each Member State alone. Concentration control's goal is to estimate if two or more undertakings can be brought together, but mostly, if this consolidation negatively affects the competition on the Union market. Negative impacts can arise with the ownership of minority interests of the competing undertaking. Such minority interest can significantly help its owner achieve an unfair advantage on the free market. The European Commission has therefore decided to regulate the market concentration's legal area, with particular focus on non-controlling minority shareholdings – a field which until now had a real legal loophole. First, this thesis presents the current statutory rules and difficulties that have occurred; all of this being supported with examples. Hereinafter, it focuses on the Reform itself, describing its content and the scope. At the end there is a short conclusion about, whether the Reform really does offer a solution in the acquisition of non-controlling minority shareholdings or if it is only a cosmetic change.
