Abstract
V magistrski nalogi smo proučevali družinska podjetja, ki so pomemben del slovenskega in svetovnega gospodarstva, saj predstavljajo velik delež v strukturi vseh podjetij. Predstavljajo posebno vrsto podjetij, ki se od drugih razlikujejo po prepletanju družinskega in poslovnega sveta. V nalogi pa smo se najbolj osredotočili na problematiko nasledstva, saj smo v številnih raziskavah zasledili, da le trideset odstotkov družinskih podjetij preživi prehod v drugo generacijo in le še dvanajst odstotkov prehod v tretjo generacijo. Proces nasledstva je prepleten z lastniškimi, finančnimi, organizacijskimi in pravnimi vidiki ter čustveno vpetostjo družinskih članov, ki ga dela še dodatno zapletenega. Pravočasno načrtovanje nasledstva, izbira in izobraževanje naslednika pa so ključni dejavniki, ki vplivajo na uspešen prenos podjetja. Naša teoretična izhodišča smo uporabili v empiričnem delu, kjer smo proučevali družinsko podjetje X, d. o. o. O podjetju smo zbrali temeljne podatke in na njihovi podlagi proučili družino ustanovitelja, nasledstvene možnosti in načrtovali nasledstvo v vodenju in lastništvu. Prav tako smo izdelali program naslednikov za naslednjih pet let.

Succession planning in ownership and management in selected family business |
Secondary abstract: |
In the master´s thesis we have researched family businesses, which are an important part of Slovenian and world economy because they represent a very large part in the structure of all companies. Family businesses are special type of companies because they differentiate from other companies by intertwining family and business world. In the master’s thesis we have focused on succession issues, because we have found out that only 30 % of family businesses survive the transition to the second generation and only 12 % survive the transition to the third generation. Succession process is intertwined with equity, financial, organizational, and legal aspects as well as emotional involvement of the family members, which makes it even more complex. Timely succession planning, selection and education of a successor are key factors that affect successful transfer of the company. We have used our theoretical findings in the empirical part, where we have studied the family company X, d. o. o. We have collected basic information about the selected company, studied the family of the founder, succession options, and planned succession of the ownership and management of the company. In conclusion, we have also developed a program of successors for the next five years. |
