Abstract

Gospodarski subjekti so v današnjem času vse bolj vpeti v mednarodne gospodarske tokove. Pri tem se pogosto pojavljajo težave, ki izhajajo iz različnih pravnih ureditev posameznih pravnih področij. To pogosto predstavlja oviro pri poslovanju in posledično gospodarskemu napredku, saj se zaradi morebitnih težav, ki izhajajo iz nepoznavanja tujega pravnega reda gospodarski subjekti pogosto ne bodo odločili za poslovanje s gospodarskimi družbami iz tujine. Zaradi tega se v modernem času pojavljajo unificirana pravila, ki znatno olajšujejo poslovanje med pravnimi subjekti iz različnih držav. Takšno unificirano pravno ureditev na področju prodajne pogodbe predstavlja tudi Konvencija Združenih narodov o mednarodni prodaji blaga, ki se pri ureditvi posameznih področij pogodbenega prava razlikuje od slovenske pravne ureditve. V diplomskem delu se ukvarjam s primerjavo pravnih ureditev poslovne odškodninske odgovornosti v slovenski pravni ureditvi in v Konvenciji Združenih narodov o mednarodni prodaji blaga, pri čemer se posebej posvetim primerjavi pravne narave odškodninske odgovornosti in obsega povrnitve škode v obeh pravnih ureditvah, saj se ravno v zvezi s tema dvema pojmoma pojavljajo največje razlike med navedenima pravnima ureditvama.

Secondary abstract: Companies are nowadays more and more integrated into the international economic flows and because of that they often meet with difficulties, which arise from different legal systems of the particular areas of law. This often represents a barrier to business and consequently economic progress, because companies will in fear of the potential problems arising from unfamiliarity with foreign law choose not to do business with companies from abroad. In modern times, consequently, unified rules that significantly facilitate business between entities in different countries appear. Example of such a unified regulation is also the United Nations Convention on Contracts for the International Sale of Goods, which differs from the Slovenian legal system in the regulation of specific areas of contract law In this thesis I focus on the comparison of legal systems of contract liability in the Slovenian legal system and in the United Nations Convention on Contracts for the International Sale of Goods, with particular attention on comparison of legal nature of liability and the extent of compensation in both jurisdictions, because this areas varies the most.
