Abstract

Avtor se v prispevku ukvarja s pojmom odškodninske obveznosti članov nadzornega sveta delniške družbe v dvotirnem sistemu upravljanja. Dejanja članov nadzornega sveta, tudi škodna, neposredno zavezujejo družbo. Vsak član mora, ko ravna kot član organa družbe, delovati v skladu s standardom vestnega in poštenega strokovnjaka. S prevzemom funkcije je splošna obveznost članov nadzornega sveta dolžnost skrbnosti, dolžnost zvestobe družbi in varovanje poslovnih skrivnosti. V nasprotnem primeru nastane odškodninska obveznost do družbe, upnikov ali delničarjev. Avtor ugotavlja, da je odškodninska obveznost članov nadzornega sveta individualna in da ne nastane odškodninska obveznost organa. V vsakem konkretnem primeru moramo ugotoviti, ali je določen član nadzornega sveta ravnal s skrbnostjo dobrega in poštenega strokovnjaka. Merilo za presojo krivde je tipizirano in določeno kot objektivne dolžnosti, ki niso odvisne od znanja in izkušenj določenega člana.

Secondary abstract: The author deals with the concept of damages liability of the public limited company’s Supervisory Board in the two-tier system of management. Actions of the Supervisory Board members directly bound the company, including possible damages. When acting on behalf of the company, each member must meet the standard of a diligent and prudent professional. With the taking up of office, the Supervisory Board members’ general obligation is to honour duty of care and duty of loyalty to the company and especially honour professional secrecy. Otherwise they are liable for damages to the company, the creditors or the shareholders. The author’s ascertainment is, that the members of the supervisory board are liable for damages individually and not as a board. The circumstances of each case must be examined to determine whether a particular Supervisory Board member has acted with care of a diligent and prudent professional. The controlling criterion in this regard is not customary diligence or carelessness, but necessary diligence, an objective standard that does not depend on the knowledge and abilities of the particular member.
