Povzetek

V magistrski nalogi se analizira vprašanje, ali je pogodbeno omejevanje odškodninske obveznosti med člani organov vodenja družbe na eni strani in družbo na drugi strani s sklepanjem sporazumov o omejitvi višine takšne odškodninske obveznosti v slovenskem pravu veljavno, dopustno in zakonito. Gre za nov pogled na odškodninsko odgovornost uprave v Republiki Sloveniji, ki lahko sprva naleti na odpor. Vendar pa ga je potrebno obravnavati iz razloga, ker odškodninske obveze (tako višine zahtevkov kot višina odmerjenih odškodnin) po svetu in tudi v Republiki Sloveniji naraščajo. Potreba po sklepanju takšnih sporazumov se je pred nekaj leti pojavila med nemškimi menedžerji (pred več kot dvajsetimi leti se je ta primarno pojavila v ameriški zvezni državi Delaware), zato, ker so bili zneski pravnomočno priznanih odškodnin tako visoko odmerjeni, da so presegali finančne zmožnosti odgovornih menedžerjev za povrnitev odškodnine in so ogrožali njihovo eksistenco in eksistenco njihovih družin (znašali so tudi do strmoglavih 812 mio EUR). Ker so se tudi v Republiki Sloveniji že pričeli pojavljati takšni primeri, je to za slovensko poslovno prakso zelo aktualna tematika. Magistrsko delo izhaja iz primerjave z nemškim pravnim redom. Kot osrednje vprašanje se izpostavlja pravno naravo odškodninske obveznosti članov organov vodenja, kajti slovenska zakonodaja dopušča omejitve odškodninskih obveznosti le za obveznosti, ki imajo poslovno (pogodbeno) naravo, ne pa neposlovne (nepogodbene, deliktne). Po predstavitvi normativnega okvira odškodninske obveznosti članov organov vodenja družbe v Republiki Sloveniji in primerjalno pravno v Zvezni Republiki Nemčiji zato se najprej analizira pravna narava odškodninske obveznosti članov organov vodenja. Ugotavlja se, da je le ta odvisna od tega, ali gre za razmerje članov organov vodenja do družbe (t.i. notranje razmerje) ali za razmerje do tretjih oseb, to je upnikov družbe, zaposlenih delavcev v družbi in družbenikov (t.i. zunanje razmerje). Prvo ima namreč kontraktualni (pogodbeni) značaj (naravo mešane pogodbe), drugo pa ne temelji na pogodbenem razmerju. Glede na to se zaključi, da je sklenitev sporazuma o omejitvi odškodninske obveznosti po višini dopustna le med člani organa vodenja in družbo, ne pa tudi med člani organa vodenja in tretjimi osebami. V nadaljevanju, po primerjavi načinov izključitev in omejitev odškodninske obveznosti članov organov vodenja družb v Republiki Sloveniji in primerjalno pravno v Zvezni Republiki Nemčiji, se analizira skladnost tovrstne pogodbene omejitve s splošnimi določili obligacijskega prava in specialnimi določili korporacijskega prava, zlasti določilom 263. člena Zakona o gospodarskih družbah (ZGD-1), pri tem pa ima posebej v vidu spremembo tega določila z novelo ZGD-1I (Zakonom o spremembah in dopolnitvah ZGD-1) v delu, ki se nanaša na obvezno odbitno franšizo članov organov vodenja v primeru sklenitve D&O zavarovanja. Obravnava se tudi vprašanje, ali je pogoj za veljavnost takšnega sporazuma oziroma pogodbene omejitve obvezna ureditev v statutu s t.i. statutarno omejitvijo ali statutarno kapo (angl. Statutory Cap on Liability). Naloga vsestransko analizira tudi razloge za in proti (pro et contra) takšni obliki pogodbene omejitve odškodninske obveznosti članov organov vodenja in predstavi razmišljanje o pravni ureditvi omejitve višine odgovornosti članov organov vodenja v Republiki Sloveniji de lege ferenda. Na podlagi analize in primerjave med slovensko in nemško pravno ureditvijo se zaključuje, da je sklepanje sporazumov o omejevanju odškodninske obveznosti med člani organov vodenja družbe in družbo v slovenskem pravnem redu dopustno in veljavno ter se v poslovni praksi lahko uporablja, vendar pod določenimi pogoji.

Sekundarni povzetek: The Master's Thesis researches whether agreements on the limitation of the liability of the management, concluded between the managers (members of the board of directors) on the one side and the company on the other side, are valid, admissible and lawful by the Slovenian law. This is a new perspective in the Republic of Slovenia, which may initially encounter (cause) resistance. However, it has to be considered as an institute, because the amounts of claims and the amount of damages assessed are increasing around the world and also in Slovenia. The need for such agreements has appeared a few years ago in the business practice among German managers (and before that, more than twenty years ago, it has primarily occurred in the US State of Delaware), because the amounts of compensations were so high and beyond the financial capacity of the responsible managers to recover damages, that they threatened their existence and existence of their families (compensations have even crashed 812 million). Whereas such the number of action claims already appeared also in the Republic of Slovenia, this is a very interesting topic for the Slovenian business practice. This Master's Thesis derives from a comparison with German law. As a central issue it exposed the legal nature of damages liability of members of management, as Slovenian law permits restrictions on compensation obligations only of those obligations which have a contractual nature, but not of those with a non-contractual nature (tort). After the presentation of the regulatory framework for compensation obligations of members of the management company in the Republic of Slovenia and comparative in the Federal Republic of Germany therefore it is primarily analyzed the legal nature of damages liability of members of management. It is concluded it depends whether relationship of members of management of the company is internal (between members of management and the company) or external (between members of management and third parties: creditors, employees of the company or the shareholders). The first one has the contractual nature (the character of the mixed contract), and the latter a non-contractual. In the perspective of such findings it concludes that an agreement on the limitation of liability for damages by the amount is allowed only between members of management and the company, and not between members of management and third parties. Furthermore, after a presentation of the methods of exclusion and limitation of damages liability of members of management of companies in the Republic of Slovenia, compared to the regulation in the Federal Republic of Germany, there is a detailed presentation of the conditions which shall be fulfilled for the validity of such an agreement, in particular the provisions of Article 263 of the Companies Act (ZGD-1), taking into account the amendment of this provision with the amended Companies Act (ZGD-1I) relating to the mandatory insurance franchise in case a D&O insurance is concluded. It is also discussed the question of the condition of statutory provisions restricting the amount of compensation (statutory limitation, so-called “Statutory Cap on Liability”). In the Master’s Thesis there are also presented the reasons for and against (pro et contra) these contractual restrictions on compensation liability of members of management and the consideration of the regulation in the Republic of Slovenia de lege ferenda. Based on the analysis and comparison between the Slovenian and the German legal system it is concluded that the agreements on limiting compensation between the members of the management of the company and the company are admissible and valid in the Slovenian legal order, but under certain conditions.
