Abstract

Prokurist je trgovski zastopnik gospodarskih družb. Značilnost prokure kot posebne oblike splošnega pooblastila je, da obseg takega pooblastila določa zakon. Prokurist zastopa družbo v vseh pravnih dejanjih, vključno v procesnopravnih. Omejen je glede odsvajanja in obremenjevanja družbinih nepremičnin, za kar potrebuje posebno pooblastilo. Prokurist nima poslovodnih upravičenj – družbo lahko zgolj zastopa nasproti tretjim osebam, znotraj same družbe pa odločitev ne more sprejemati. V primerjavi s hrvaškim in nemškim zakonom, je prokura pri nas urejena podobno, a skopo.

Secondary abstract:	A procurator is a commercial agent of a company. A trait of procuration as a special form of a general power of attorney, is that it’s scope is determined by law. A procurator represents the company in all legal actions, including procedural ones. He is limited in regard of disposing and encumbering real estate, for which he needs a special authorisation. A procurator has no managerial rights – he may only represent the company against third persons but he cannot make decisions within the company itself. In comparison to the Croatian and the German law, here, the procuration is regulated similarly, although meagrely.
