Abstract

Nepoštene poslovne prakse so del potrošniškega prava, ki je v zadnjem obdobju, predvsem znotraj Evropske unije, doživel velik razvoj. Ker se je evropski zakonodajalec zavedel pomembnosti varstva potrošnikov, je njihove pravice podrobno uredil z mnogimi pravnimi akti, ki so tudi poenotili pravila znotraj držav članic. Enako velja za področje nepoštenih poslovnih praks, kjer imamo detajlna pravila, ki določajo, katera dejanja vse so tako prepovedana. Kljub temu pa se pojavlja vprašanje, kako je s sklenitvijo in veljavnostjo pravnega posla v primerih, ko je tak pravni posel obremenjen z nepošteno poslovno prakso, saj tako Direktiva o nepoštenih poslovnih praksah kot tudi nacionalni Zakon o varstvu potrošnikov pred nepoštenimi poslovnimi praksami tega ne določata. V diplomskem delu najprej predstavim nepoštene poslovne prakse, v nadaljevanju pa civilnopravne vidike le-teh, v okviru tega pa tudi posledice pravnih poslov, sklenjenih ob ravnanju, ki šteje za nepošteno poslovno prakso. Predstavljena je tudi relevantna sodna praksa.

Secondary title: Civil law aspects of unfair commercial practices in conclusion of the contract
Secondary abstract: Unfair commercial practices are a part of consumer law, whose development has been quite substantial in the last decades, especially within the European Union. Since the legislator was aware of the importance of the consumer protection, the Union adopted many legal acts that affected consumer law and also harmonised the rules within the Member States. The same applies also for unfair commercial practices, since the Union adopted the Directive on unfair commercial practices which delivers detailed provisions regarding the matter. However, while the Directive not only defines unfair commercial practices but also lists 31 examples of practices which are in all circumstances considered unfair, the question remains how does the existence of unfair commercial practise influence the contract, especially the formation and validity, since both the Directive or the (Slovenian) Consumer Protection against Unfair Commercial Practices Act do not include provisions about the effect of the unfair commercial practices on the contract law. In the diploma thesis I first present the unfair commercial practices as well as civil law aspects on the unfair commercial practices. Moreover, I present the legal consequences of the contracts, stipulated under the influence of the unfair commercial practices. I also present some relevant cases.
