Abstract
Magistrsko delo obravnava temo možnosti solastništva delavcev v Sloveniji. Naloga in izbor teme je posledica seznanitve z modelom solastništva zaposlenih v družbi DEWESoft, kot ga poimenuje družba ter njena soustanovitelja. Pravno dosledno gre za možnost vključitve delavcev v osnovni kapital družbe, v kateri so zaposleni. Tako je namen naloge, da skozi posamezna poglavja, ki bi sicer vsako zase lahko predstavljalo homogeno osnovo za nadaljnjo obravnavo, poišče skupne točke, pomembne za solastništvo delavcev, in jih predstavi. Magistrska naloga prikaže možnosti vključitve delavcev v solastništvo pri delniški družbi in družbi z omejeno odgovornostjo, vse od osnovnih institutov pa do zahtevnejših pravnih vidikov, ki se dotikajo solastništva, ter opiše prednosti in omejitve, ki so posledica izbrane pravnoorganizacijske oblike družbe. Naloga nato pojasni pojem solastništva delavcev, ki zajema aspekte delavske participacije, soudeležbe delavcev v družbah in ekonomske demokracije, ter osvetli, zakaj je vključitev delavcev v lastništvo družb sploh smiselna. Osrednji del naloge se osredotoči na predstavitev treh možnih modelov vključitve delavcev v solastništvo družbe. Prikazana je ureditev delniških opcij, udeležba delavcev po Zakonu o udeležbi delavcev pri dobičku in model solastništva Employee Stock Ownership Plan. Prva dva načina vključitve delavcev v lastniški kapital družb sta v Sloveniji že dobro poznana, zato naloga izpostavi večino pomembnih vidikov vsakega ter pri tem povzame dobre in slabe lastnosti dosedanje ureditve. Pri modelu ESOP, ki v Sloveniji še ni pravno urejen, pa naloga predstavi možnosti za njegovo pravno ureditev in njegovo uporabo v trenutno veljavni zakonodajni ureditvi, ter se hkrati opredeli do boljših in slabših lastnosti tega načina soudeležbe delavcev. V zadnjem delu naloga predstavi unikaten model solastništva delavcev v družbi DEWESoft. Opisan je družbin model vključevanja delavcev, od osnovne filozofije družbe pa do dejanskih določb njihovih internih aktov in izvedbe njihovega načina solastništva delavcev. Predstavljene so tudi prednosti in pomanjkljivosti, s katerimi se družba spopada ob uresničevanju takšnega modela vključevanja delavcev v osnovni kapital družbe.

The master thesis addresses the topic of the possibilities of worker co-ownership in Slovenia. The thesis and the selection of the topic were chosen as a result of learning about the model of employee co-ownership in company DEWESoft, as it is called by the company and the co-founders themselves. In legal terms, it addresses the possibility for workers to be included in the share capital of the company that employs them. The objective of the thesis is to identify common points relevant to employee co-ownership and to present them in individual chapters, each of which could form a homogeneous basis for further study. The thesis presents the possibilities of involving employees in the co-ownership of a public limited company and a limited liability company, from the basic institutes to the more complex legal aspects of co-ownership, and describes the advantages and limitations resulting from the chosen legal form of the company. The thesis then introduces the concept of worker co-ownership, covering aspects of worker participation, worker involvement in companies and economic democracy, and then presents why it makes sense to involve workers in the ownership of companies in general. The central part of the thesis focuses on the presentation of three possible models of worker involvement in the co-ownership of a company. It presents the legal regulation of stock options, employee participation under the ZUUDob and the Employee Stock Ownership Plan as a model of co-ownership. The first two models of employee co-ownership of companies are already well known in Slovenia, so the thesis merely emphasises the most important aspects of each and outlines the positive and negative features of the current legislation. In the case of the ESOP model, which is not yet legislated in Slovenia, it presents the possibilities for its regulation and its application in the current legislative framework. At the same time, it identifies the advantages and disadvantages of this form of worker co-ownership. Lastly, the thesis presents a unique model of worker co-ownership at the company DEWESoft. It describes the company's model of worker involvement in co-ownership, from the basic philosophy of the company to the actual provisions which address it. The thesis outlines the advantages and disadvantages that the company faces in implementing their model of worker participation in the company's share capital. |
