Abstract

POVZETEK V diplomski nalogi je zajeta analiza klavzule rebus sic stantibus, tako kot jo pozna slovenska in nemška pravna ureditev, Dunajska konvencija o pogodbenem pravu ter načela UNIDROIT za mednarodne gospodarske pogodbe. V naštetih pravnih ureditvah je klavzula rebus sic stantibus poimenovana različno. V slovenskem pravnem redu kot institut spremembe ali razveze pogodbe zaradi spremenjenih okoliščin, v nemškem pravu kot motnja v poslovni podlagi, v Dunajski konvenciji o pogodbenem pravu je urejena kot spremenjene okoliščine in v avtonomnem pravnem aktu instituta UNIDROIT kot otežena izpolnitev. Klavzula rebus sic stantibus omogoča pogodbenim strankam, da kljub temeljnemu načelu civilnega prava pacta sunt servanda, da je dogovore potrebno spoštovati, postanejo prosti svoje obveznosti, če so izpolnjeni vsi zakonski znaki, ki omogočajo sklicevanje na omenjeno klavzulo. Za vsako od naštetih pravnih ureditev je v diplomskem delu podana podrobnejša analiza, kateri so tisti zakonski znaki, ki morajo biti podani, da se stranka lahko na klavzulo upravičeno sklicuje in kakšne pravne posledice so predvidene, kakor tudi morebitne posebnosti posamezne ureditve klavzule rebus sic stantibus.

Secondary abstract: SUMMARY This thesis includes an analysis about the rebus sic stantibus clause, as it is regulated in the Slovenian and German law system, the Vienna Convention on the Law of treaties and UNIDROIT principles for international commercial contracts. The above mentioned legal regimes use different terms to describe the rebus sic stantibus clause. In Slovenian law it is known as the institution of change or termination of the contract due to changed circumstances, in German law as basis of the transaction, that ceases to exist, in the Vienna Convention on the Law of treaties as changed circumstances and in the autonomous legal act of the UNIDROIT institute as hardship. The rebus sic stantibus clause allows the contract parties to become free of its obligations, if the statutory definition is fulfilled, despite the fundamental principle of the civil law, pacta sunt servanda, that agreements must be kept. For each of the above mentioned legal regimes, there is a detailed analysis of the statutory definition, that needs to be fulfilled, so that clients can refer to the clause and a detailed analysis of the legal consequences and possible special regulations in a particular legal regime.
