Povzetek
V diplomski nalogi sem predstavila in razložila skupna pravila v postopkih zaradi insolventnosti, podrobneje opisala potek in pravne posledice stečajnega postopka nad pravno osebo, ki je insolventni dolžnik. Pojasnila sem pojem ločitvenih upnikov in pomen pravočasne prijave zavarovanih terjatev oziroma ločitvenih pravic za pridobitev procesne legitimacije. Dotaknila sem se tudi vloge stečajnega upravitelja, na katerega se prenesejo pooblastila za zastopanje stečajnega dolžnika in vodenje njegovih poslov. Izpostavila sem posebej izločitveno pravico na nepremičnini, ki je v drugi točki prvega odstavka 22. člena ZFPPIPP opredeljena kot pravica osebe, ki je s priposestvovanjem ali na drug izviren način pridobila lastninsko pravico na nepremičnini, pri kateri je kot lastnik vpisan insolventni dolžnik. Izločitveni upnik ima od insolventnega dolžnika pravico zahtevati, da prizna njegovo lastninsko pravico na nepremičnini. Opisala sem tudi pravni institut v korelaciji z insolvenčnim pravom, ki je izjema od pravila, da so navadne oziroma obligacijske terjatve upnikov v stečaju poplačane sorazmerno. Gre za vzajemno neizpolnjene dvostransko vzajemne pogodbe, za katere z začetkom stečajnega postopka ne nastanejo materialnopravne posledice stečaja. Posebej sem osvetlila nevarnost neurejenega zemljiškoknjižnega stanja, kjer nepremičnina lahko brez vednosti oziroma zaradi pasivnosti lastnika konča v stečajni masi. Izpostavila sem pomen vknjižbe lastninske pravice v zemljiško knjigo in stališča novejše teorije za prenos lastninske pravice na nepremičnini. Obravnavala sem tudi prisilno zastavno pravico (hipoteko), ki nastane na podlagi sodne odločbe z vpisom v zemljiško knjigo in opisala razmerje med imetnikom prisilne hipoteke in originarnim lastnikom oziroma imetnikom pričakovalne pravice. Nazadnje sem predstavila pomen zaznambe stečaja in na kratko pojasnila prodajo nepremičnine v stečajnem postopku. V diplomski nalogi sem naredila pregled nekaterih aktualnih judikatov, ki so prispevali s tehtnimi in konstruktivnimi argumenti k teoretični razlagi in obravnavi pravnih pravil, ki se navezujejo na zgoraj opisano obravnavano tematiko.

In my graduation thesis, I presented and explained the common rules in insolvency proceedings, where I described in more detail the course and legal consequences of the bankruptcy proceedings against a legal entity that is an insolvent debtor. Therefore, I examined the role of a bankruptcy administrator who is appointed by the court and is a legal representative of bankruptcy debtor. The administratorꞌs main responsibility is to secure creditors interests. Creditors have a duty to notify their claims and the rights to separate settlement within three months to the bankruptcy administrator. I also highlighted the exclusion right to immovable property, which is defined in the first paragraph of Article 22 of the ZFPPIPP as the right of a person who acquired the property right on the real estate in which the insolvent debtor is registered as the owner. The exclusion creditor has the right to demand from the insolvent debtor to recognize his property right on the property. In addition, I analyzed a legal institute in correlation with insolvency law which is an exception to the rule that ordinary or obligatory claims of creditors in bankruptcy are paid proportionately. These are mutually unfulfilled bilateral reciprocal contracts for which the material and legal consequences of bankruptcy do not arise with the commencement of bankruptcy proceeding. On top of that, I especially highlighted the danger of an unregulated land registry, where real estate can end up in bankruptcy proceeding without the knowledge or because of the passivity of the owner. I also emphasized the importance of registering property rights in the land register and the views of a recent theory for the transfer of ownership of immovable property. Apart from this, I also mentioned mortgage which arises on the basis of a court decison by entering into the land register. Moreover, it was necessary to explain the principle of trust in the land register which is a fundamental principle in the field of real estate. In conclusion, I briefly presented how the assets of an insolvent debtor are sold on a public auction or by invitation to place binding offers. In order to enrich my research, I made a brief overview of the current judiciary which contributed with constructive arguments to consistent interpretation of the legal rules that relate to the above described topic. |
