Povzetek

Magistrsko delo predstavlja analizo institutov prenosa pogodbenih pravic in obveznosti ter primerjavo pravil slovenske ureditve v Obligacijskem zakoniku in ureditve v Načelih UNIDROIT za mednarodne gospodarske pogodbe. Načela UNIDROIT imajo v mednarodnem gospodarskem pravu zelo pomembno vlogo, saj predstavljajo poenotenje pravil gospodarskega prava in tako znatno olajšajo mednarodno poslovanje, saj se je z njihovo uporabo mogoče izogniti koliziji pravil nacionalnih pravnih redov. Pravice in obveznosti je mogoče prenesti ločeno, lahko pa se prenesejo tudi skupaj v okviru instituta prenosa pogodbe, zato so tudi pravila, ki urejajo prenos pogodbe na določenih mestih nekakšna smiselna kombinacija pravil, ki urejajo prenos pravic in pravil, ki urejajo prenos obveznosti, vsekakor pa imajo tudi svoje posebnosti. Vse tri institute, prenos pravic, prenos obveznosti in prenos pogodbe, ureja tako Obligacijski zakonik kot Načela UNIDROIT za mednarodne gospodarske pogodbe. Sama pravila obeh ureditev so si zelo podobna, vendar pa se na določenih mestih tudi razhajajo, kar je v magistrskem delu tudi podrobneje predstavljeno.

Sekundarni povzetek: The Master's thesis presents an analysis of the institutes for the transfer of contractual rights and obligations as well as a rule comparison of the Slovenian regulation in the Code of Obligations (hereinafter referred to as OZ) and the regulations in the UNIDROIT Principles for International Commercial Contracts. The UNIDROIT principles play a very important role in international commercial law since they represent the unification of the rules of commercial law and thus considerably facilitate international business since their application can avoid the collision of rules of national legal systems. Rights and obligations may be transferred individually or jointly within the institute of assignment of contracts. Therefore, the rules governing the assignment of contract are in some places a useful combination of the rules governing the assignment of rights and rules, the latter regulating the transfer of obligations, but also have their own specificities. All three institutes (Assignment of rights, Transfer of obligations and Assignment of contracts) are governed by the OZ and the UNIDROIT Principles for International Commercial Contracts. The rules of both systems are very similar, but also differ in certain aspects, which are explained in more detail in the master thesis.
