Povzetek
Med strankama je kupna pogodba sklenjena, ko dosežeta soglasje volj, da soglašata o vseh bistvenih sestavinah oziroma da se strinjata o tem, da želita skleniti pogodbo. Pravna instituta, s katerima se ugotovi soglasje volj med strankam, sta ponudba in sprejem.
Dunajska konvencija sklenitev mednarodne kupne pogodbe na podlagi ponudbe in njenega sprejema ureja v drugem delu (členi 14 do 24). Predpostavke ponudbe, kot predloga za sklenitev pogodbe so urejene v uvodnem 14. členu. Vsebovati mora tiste elemente, iz katerih bo razvidna vsebina obveznosti pogodbenih strank.
Da lahko govorimo o sklenjeni pogodbi, mora ponudba biti dana in naslovnik jo mora sprejeti. Bistveno vprašanje na tem mestu je, kdaj je ponudba sprejeta. Lahko je izrecno s strani naslovnika ali pa s konkludentnimi dejanji, na podlagi običajev ali prakse, ki je vzpostavljena med strankama. Podrobnejša ureditev sprejema je urejena v 18. členu. Ključnega pomena je tudi, da je sprejeta pravočasno. Rok za sprejem ureja 20. člen Dk.
Kadar naslovnik poda izjavo o sprejemu, ki pomeni sprejem in vsebuje kakršne koli spremembe od prvotne ponudbe, se šteje, da je ponudba zavrnjena. Govorimo o nasprotni ponudbi in je podrobneje opredeljena v 19. členu.
Države pogodbenice lahko izrečejo pridržek iz 92. člena glede drugega dela konvencije. V tem primeru se država, ki pridržek izreče, glede tega dela ne obravnava kot država pogodbenica.

The sales contract between the parties is concluded when they reach a concurrence of wills to agree on all essential components, therefore, to both agree on entering into a contract. Offer and acceptance are legal institutes to determine the concurrence of wills between the parties. The CISG regulates the formation of the international sales contract, based on offer and its acceptance in Article 14 to 24. Offer assumptions, such as the proposal for the conclusion of a contract, are regulated in the introductory of Article 14. What it must contain, are the elements which illustrate the content of obligations the parties have. In order to talk about the conclusion of a contract, the offer must be made and the offeree must accept it. The essential question is the timing of the accepted offer. The offeree may indicate assent of practices which the parties have established between themselves, or with performing an act. More detailed arrangement of conclusion is edited in Article 18. The timing of the acceptance is crucial. The deadline of acceptance in regulated by Article 20. A reply to an offer, which purports to be an acceptance, but contains additions, limitations or other modifications, is a rejection of the offer. We can talk about counteroffer which is further defined in Article 19. A Contracting State which makes a declaration in accordance with article 92 in respect of Part II of this Convention, is not to be considered a Contracting State within paragraph (1) of article 1 of this Convention in respect of matters governed by the Part two which declaration applies. |
