Povzetek

Tema diplomske naloge so insolventni postopku pravnih subjektov, ki v naši družbi predstavljajo velik problem zaradi neplačanih dolgov. Na trgu se vsak dan pojavi nekaj novih podjetniških subjektov, nekateri z novimi izvirnimi dejavnostmi, nekateri pa z dejavnostmi, s katerimi je trg že dovolj zasičen, kar pa ne pomeni nujno da ta subjekt zapade v finančne težave, saj je uspešnost odvisna predvsem od sposobnosti, poznanstev, prodornosti…Skratka, nekateri podjetniški subjekti po določenem času ne uspejo več uspešno krmariti na gospodarskem področju saj zapadejo v velike finančne težave, ko ne morejo več uspešno pokrivati svojih dolgov. Da bi takšni subjekti prenehali, je zakonodajalec zakonu predvidel stečajni postopek, postopek prisilne poravnave, postopek likvidacije, v končni fazi pa tudi skrajšani postopek prenehanja — izbris družbe iz sodnega registra po skrajšanem postopku. Od leta 2008 so v Republiki Sloveniji insolventni postopki urejeni z Zakonom o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju, ki je bil objavljen v Uradnem listu RS št. 126/2007 dne 31.12.2007, uporabljati pa se je začel 1. oktobra 2008. Prvi problem predstavlja vprašanje, ali nova ureditev pomeni boljši položaj za upnike? Z zakonom naj bi se po besedah Ministrstva za pravosodje zagotovilo hitrejše in bolj ekonomično vodenje postopkov zaradi insolventnosti ter skrajšalo trajanje postopkov, ki so do,uvedbe navedenega zakona potekali nerazumno dolgo, kar posledično pomeni boljšo ureditev za upnike. To po njihovih besedah omogoča predvsem javna objava vseh sklepov sodišča in izjav upravitelja ter ureditev postopka preizkusa terjatev, ki je sedaj v celoti pisen, kar odpravlja narok za preizkus terjatev. Drugi problem predstavlja vprašanje ali je zakon prispeval k boljši finančni disciplini? Iz razloga dobrega poslovanja in zavedanja odgovornosti bi moral vsak poslovodja vedeti in poznati minimalno vsebino in obveznosti, kajti kršitev lahko privede do osebne odgovornosti poslovodstva, ki odgovarja za poslovanje podjetja in ga usmerja. Poleg poslovodstva so k spoštovanju pravil zavezani tudi člani nadzornih svetov. Zakon je namenjen za gospodarske družbe, samostojne podjetnike, zavode, javne zavode, zadruge in javne sklade.

Sekundarni povzetek: The subject of our work is related to insolvent procedures of legal subjects, which represent a serious problem in the Republic of Slovenia due to outstanding debts. Everyday certain number of new legal subjects appear on the market, some of them with new and fresh activities and others with activities, the market is already saturated enough, which however does not necessary mean that this particular subject faces financial problems, because success itself is mainly dependant on competence, ability, acquaintanceship, penetration and so on. To sum up, some of the business subjects after a certain period of time are no longer able to successfully manage the economic area, because they soon face major financial problems, when they are no longer able to successfully pay up their debts. In order to achieve that these subjects would terminate their business the legislator envisaged bankruptcy proceedings, compulsory composition procedures, liquidation procedure and finally, also the abbreviated winding-up procedure - deletion of the company from the Court Register according to the aforementioned abbreviated procedure. Ever since 2008 insolvent procedures in the Republic of Slovenia have been governed with the Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act, which was published in the Official Gazette of the Republic of Slovenia number 126/2007 on the day of December 31st 2007 and began to be applied on the October 1st, 2008. The first issue represents the question whether this new arrangement represents a better situation for creditors? According to the Ministry of Justice this Act was suppose to provide a faster and more economic conduct of proceedings due to insolvency and shorten the duration of these proceedings, which until the introduction of the aforementioned Act, went on for an unreasonable long period of time, which subsequently means a better arrangement for creditors. According to their words this is mainly enabled by the public announcement of all court decisions and statements provided by the official receiver as well as arrangement of probation of receivables, which is currently entirely prepared in written form, which eliminates the hearing for the probation of receivables. The other issue is related to the question whether the aforementioned Act made any contributions to the better financial discipline? Under the reason of sound management and awareness of the responsibility every single manager should be familiar with and know the minimal contents and obligations since the infringement might lead to the personal responsibility of the management, which shall be liable for the functioning of the undertaking and shall direct it (the undertaking). In addition to the management, members of the supervisory boards are also obliged to respect to rules. The law is intended for commercial companies, private entrepreneurs, institutes, public institutes, co-operative societies and public funds.
