Abstract
Namen diplomskega dela je podrobneje predstaviti položaj ločitvenih upnikov (imetnikov stvarnopravnih zavarovanj) v primerih, ko njihov dolžnik postane plačilno nesposoben in se posledično znajde v insolvenčnem postopku, torej v stečajnem postopku in v postopku prisilne poravnave. Prikazane so stvarnopravne podlage za pridobitev in nastanek ločitvene pravice. Med ločitvene pravice, ki nastanejo na podlagi stvarnopravnih zavarovanj, spadajo vse vrste zastavne pravice, zemljiški dolg, pravica fiduciarja pri prenosu lastninske pravice v zavarovanje (fiduciarna lastnina) ter pravica fiduciarja pri odstopu terjatve v zavarovanje (fiduciarna cesija).
Za uspešno uveljavljanje ločitvene pravice v stečajnem postopku morajo upniki zavarovano terjatev oziroma ločitveno pravico pravočasno prijaviti. Ločitveni upnik je iz zavarovane terjatve lahko poplačan le v primeru, če uspešno prestane postopek preizkusa terjatev. Temeljno načelo insolvenčnega postopka je načelo enakega obravnavanja upnikov. Upniki oziroma stečajni upravitelj imajo pravico izpodbijati vsako pravno dejanje, ki ga je dolžnik opravil v izpodbojnem obdobju, in je privedlo do neenakega obravnavanja upnikov. To se kaže predvsem v primeru, ko je stvarnopravno zavarovanje ustanovljeno naknadno glede že obstoječe terjatve. Bistvo položaja ločitvenih upnikov je prednostno poplačilo zavarovanih terjatev iz predmeta zavarovanja. Unovčenje zavarovane terjatve se lahko opravi v sodnem postopku oziroma lahko tudi zunajsodno ob upoštevanju zakonskih pravil, ki veljajo za določeno vrsto premoženja, ki je predmet te pravice. Že pred nastopom insolventnosti običajno tečejo zoper dolžnika že izvršilni postopki, zato so opredeljeni tudi položaji ločitvenega upnika, ko pride do kolizije teh dveh postopkov.
Uvedba, začetek in potrjena prisilna poravnava na terjatve, ki so zavarovane z ločitveno pravico, ne vpliva.

The purpose of this diplom is to specifically define the position of secured creditors (holders of real security rights) in cases, when their debtor becomes unable to pay and consequently becomes involved in insolvency proceeding, therefore in bankruptcy and compulsory settlement. Real legal fundaments for acquisition and emergence of separation rights are discussed. Separation rights, based on real security rights, include all types od lien, land charge, fiduciary transfer of ownership to establish security and fiduciary cession of rights as a security.
For sucessfully enforcing of separation rights in bankruptcy, the creditors must lodge their secured claims or separation right on time. The admissibility of payment for a separation creditor of a secured claim depends on (un)sucessfully testing of claims. The main principle of insolvency proceeding is the right of equal treatment of creditors. Creditors or receiver can contest every legal action, concluded by the insolvent debtor in suspected period, which has led to the unequal treatment of creditors. The real security rights are contestabled, especially when the real security is created later to secure already existing unsecured claims. The essence of the position of separation creditors is the right to receive payment of secured claims out of the subject – matter of security . Realizing of secured claims can be enforced under the judiciary proceeings or out-of-court procedings under considering certain law conditions, depends on specific sort of property, which is subject – matter of this right. Usually, before insolvency proceeding starts, the execution proceedings are already in progress, therefore the position of separation creditor in the conflict of this two proceedings is presented.
Introduction, start and confirmation of the compulsory settlement has no affect on claims, which are secured with separation right. |
