Abstract

V diplomskem delu sta podrobneje predstavljena instituta umika in preklica ponudbe po Obligacijskem zakoniku in Dunajski konvenciji. Čeprav je večina določb Obligacijskega zakonika o sklenitvi pogodb povzetih po omenjeni konvenciji, pa to ne velja tudi za institut preklica ponudbe. Naprej so na kratko predstavljeni učinki ponudbe, razlike med ureditvami preklica ponudbe v različnih pravnih redih, kaj je to trdna in netrdna ponudba ter kakšna je razlika med institutoma umika in preklica ponudbe. Tako imenovano jedro diplomske naloge pa obsega dva sklopa. V prvem delu je predstavljen umik ponudbe kot ga normira Obligacijski zakonik, ter dva primera iz sodne prakse slovenskih sodišč, ki prikazujeta učinke veljavnosti oziroma neveljavnosti umika ponudbe. Po enakem vzorcu je analiziran tudi umik ponudbe kot je urejen v Dunajski konvenciji, hkrati pa je opravljena primerjava med obema ureditvama. V drugem delu je predstavljen preklic ponudbe, opredeljeno je, če sploh in kako je urejen v slovenskem pravnem redu ter kako to ureja Dunajska konvencija. Tudi v tem sklopu je teorija podprla s sodno prakso.

Secondary title: Revocation of proposal - comparison of provisions between OZ and Vienna Convention
Secondary abstract: The diploma paper includes a detailed representation and comparison of the regulation of a withdrawal and revocation of an offer according to the Vienna Convention and the Code of Obligations. Although most provisions of the Code of Obligations about contract conclusion are derived from the mentioned Convention, this does not apply for revocation of an offer. At the beginning is a brief introduction of the effects of an offer, differences between regulations of the revocation of an offer in various legal orders, definition of terms firm offer and option contract as well as definition of the difference between the institute of offer withdrawal and revocation of an offer. The focus of the diploma paper will be divided into two parts. The first part introduces the withdrawal of an offer in accordance to Code of Obligations norms, as well as two examples of the case law of Slovenian courts, which show the effects of validity or invalidity of an offer withdrawal. The same pattern will be used for the revocation of an offer as regulated in the Vienna Convention, followed by a comparison of both regulations. In the second part the focus will be on revocation, I will define if and how it is regulated in the Slovenian legal order and how it is regulated in the Vienna Convention. The theory will also be based on judicial decisions, which will show the practical part of the mentioned institute.
